The Company shall by the earlier of (i) 9:30 a.m. (Israeli time) on the Trading Day immediately following the date hereof, or (ii) as otherwise required under the Israeli Securities Laws, (a) issue a press release disclosing the material terms of the transactions contemplated hereby, (b) file an Immediate Report to the TASE and the ISA disclosing all material terms of the transactions contemplated hereby, and all other disclosures pertaining to this Agreement as required by Israeli Securities Laws.
The Company shall also report the interest that accrued up until the date of the Early Redemption in the Immediate Report.
In other words, the Company shall publish an Immediate Report, which includes a notice that the Early Redemption will be executed, and which specifies the execution date of the Early Redemption, a date which shall occur no earlier than 30 days and no later than 45 days after the publication date of the said Immediate Report.
The notice of early redemption shall be published in an Immediate Report that shall be sent to the securities authority and to the Stock Exchange and in two daily and prevalent newspapers in Israel in the Hebrew language and it shall be given in writing to all the registered Debenture Holders.
The Company shall publish the interest rate that shall be paid in the first payment in the Immediate Report of the Results of the Issue pursuant to the Shelf Offering Report.
In the event of arrears in payment as state above, the Company shall announce the exact interest rate to be paid, which shall include the biannual interest plus the arrears interest as stated, in an Immediate Report two (2) Trading Days prior to the actual payment date.
The Issuer will also furnish notice of any resolution by the Board of Directors to the Commission on Form 6-K, and in an Immediate Report in Israel as well as a notice to be published in two Israeli newspapers with wide circulation in Israel.
Such notice shall also be mailed to the Issuer and the Issuer shall publish an Immediate Report (under the Securities Law) and furnish a report to the Commission on Form 6-K thereof.
The Issuer shall promptly file an Immediate Report regarding such an event, as provided in the Securities Law, as well as furnish such notice to the Commission on Form 6-K.
If an approval of the tax authorities regarding such discount rates shall not be received, the Company shall notify in an Immediate Report, prior to issuing the Debentures as a result of expanding the series, of not receiving the approval as stated and that the uniform discount rate will be the highest discount rate that was created for the series.
