Incremental Term Facility Effective Date definition

Incremental Term Facility Effective Date has the meaning specified in Section 2.16(c).

• The Administrative Agent shall promptly notify the Company and the Lenders of the final allocation of such Incremental Term Facility and the Incremental Term Facility Effective Date.

• The Administrative Agent shall promptly notify the Borrower and the Term A Lenders of the final allocation of such Incremental Term Facility and the Incremental Term Facility Effective Date.

• Pursuant to Section 10.07(b)(iv) of the Credit Agreement, each of the Borrower and the Administrative Agent hereby consents to the assignment by the Incremental Term Lenders of any portion of the Incremental Term Loans to the Persons set forth on Schedule II attached hereto or to any Affiliates or Approved Funds of any such Persons on the Incremental Term Facility Effective Date or within thirty Business Days thereafter.
