Institutional Purchaser definition

Institutional Purchaser. Defined in the Preamble of this Agreement.
Institutional Purchaser means collectively, GTCR Fund IX/A, L.P., a Delaware limited partnership, GTCR Fund IX/B, L.P., a Delaware limited partnership and GTCR Co-Invest III, L.P., a Delaware limited partnership.
Institutional Purchaser means a Person described in Rule 13d-1(b)(1) promulgated under the Exchange Act (other than any such Person who acquires Common Stock as part of such Person's market-making or broker-dealer activities).

  • The Commitment of each Conduit Purchaser and each Institutional Purchaser shall be reduced by an amount equal to its Pro Rata Share (prior to giving effect to any reduction of Commitments hereunder) of the aggregate amount of any reduction under this Section 2.4(a).

  • The Institutional Purchaser agrees to purchase, on the Closing Date, that number of Shares with an aggregate purchase price equal to approximately $59.0 million, and that number of shares of Preferred Stock consistent with the terms, powers, preferences and other rights as set forth in the Form of Certificate of Designations of such Preferred Stock attached hereto as Exhibit B (the “Certificate of Designations”), with an aggregate purchase price equal to $41.0 million.

  • Each Purchaser also understands and acknowledges that it has made its own review of the investment merits and risks of the Shares, and with respect to the Institutional Purchaser the shares of Preferred Stock, is not relying on the Institutional Purchaser and is acting separately and independently of the Institutional Purchaser in making its investment in the Shares, and with respect to the Institutional Purchaser the shares of Preferred Stock.

  • Xxxxx unless the Institutional Purchaser otherwise notifies the Corporation in writing at least two days prior to the Closing Date.

  • The Corporation will bear the total cost of any filings required by Institutional Purchaser under the HSR Act.

  • If the Board Representative fails to complete any term of office to which he is appointed or elected in accordance with this Section 5.3, whether due to his death, resignation, retirement, disqualification, or removal, the Board shall vote for and take any and all actions necessary to appoint such other designee of the Institutional Purchaser as the Board Representative to complete the remainder of such term.

Institutional Purchaser. Each financial institution which may from time to time become a Purchaser hereunder as an “Institutional Purchaser” by executing and delivering an assumption agreement in the form of Exhibit L to the Administrative Agent and the Seller as contemplated by Section 2.1(e).
Institutional Purchaser. Each financial institution other than a Conduit Purchaser which may from time to time become a Purchaser hereunder in the sole discretion of the Administrative Agent by executing and delivering a Joinder Supplement to the Administrative Agent and the Borrower.

Related to Institutional Purchaser

  • Institutional Investor means (a) any Purchaser of a Note, (b) any holder of a Note holding (together with one or more of its affiliates) more than 5% of the aggregate principal amount of the Notes then outstanding, (c) any bank, trust company, savings and loan association or other financial institution, any pension plan, any investment company, any insurance company, any broker or dealer, or any other similar financial institution or entity, regardless of legal form, and (d) any Related Fund of any holder of any Note.

  • Original Purchaser means the original purchaser of the Bonds designated by the Fiscal Officer in the Certificate of Award.

  • Institutional Investors means any regulated investment company, segregated asset account, foreign investment company, common trust fund, group trust or other investment arrangement, whether organized within or without the United States of America.
