Intercompany Transactions definition

Intercompany Transactions means the intercompany transactions described in the Confidential Information Memorandum dated March 15, 2016.

Intercompany Transactions has the meaning provided in subsection 6.1(d).

Intercompany Transactions means the intercompany transactions described under “Summary—Corporate Structure” in the Offering Memorandum.

More Definitions of Intercompany Transactions

Intercompany Transactions means the intercompany transactions described in the Confidential Information Memorandum dated March 15, 2016. “Intercreditor Agreement” means an intercreditor agreement dated as of the Escrow Release Date, among the Loan Parties, the Collateral Agent, thecollateral agent in respect of the Senior Secured Notes and the collateral agent in respect of the Additional Bridge Facility, in form and substance reasonablysatisfactory to the Collateral Agent and the Borrower.

Intercompany Transactions has the meaning set forth in Section 4.22(b).

Intercompany Transactions means, collectively, all transactions of any nature between the Corporation and any Person associated with or related to the Corporation or otherwise not dealing with the Corporation on an arms- length basis.

Intercompany Transactions means the payment by one Named Insured to another Named Insured in exchange for goods or services.

Intercompany Transactions means the intercompany transactions described under “Summary—Corporate Structure” in the Offering Memorandum. “Interest Rate Agreement” means any interest rate swap agreement, interest rate cap agreement or other financial agreement or arrangement with respectto exposure to interest rates.

Intercompany Transactions means, collectively, (i) any dividends paid by any Subsidiary which is party to the Subsidiary Guaranty, the Master Security Agreement and the Stock Pledge Agreement (any such Subsidiary, a "Subsidiary Guarantor") to any other Subsidiary Guarantor or the Company, (ii) any loans made by the Company or any Subsidiary Guarantor to the Company or any Subsidiary Guarantor, (iii) any investments made by the Company or any Subsidiary Guarantor in the Company or any Subsidiary Guarantor and (iv) any transfer of assets by the Company or any Subsidiary Guarantor to the Company or any Subsidiary Guarantor.

Intercompany Transactions shall have the meaning set forth in Section 2.17(a) hereof.
