Interim Certificates definition

Interim Certificates. As defined in Section 2.02.
Interim Certificates means the interim certificate(s) representing the Shares endorsed by the selling shareholders in the Target for the benefit of the Purchaser.
Interim Certificates means collectively any and all materialised share certificates representing each of the Company Shares and identified by such share numbers and interim certificate numbers as set out in attached Exhibit 1.7 (Identification of Interim Certificates and Extract of Share Registry) prior to the Dematerialisation;

Examples of Interim Certificates in a sentence

  • Unless otherwise specified, progress payments in Interim Certificates, referred to in Clause 6.10 of the General Conditions of Contract 2015, in respect of "sum" items in the ▇▇▇▇ of Quantities shall be by means of interim progress instalments assessed by the Employer’s Agent and based on the measure in which the work actually carried out relates to the extent of the work to be executed by the Contractor.

  • The same deductions shall be made for persons on Letters of Permission (Regulation 183), Interim Certificates of Qualifications and Emergency provisions (Regulation 298, S.21).

  • The Quarterly Reports and any Interim Certificates and the contents thereof shall be subject in all respects to the terms of a confidentiality/nonuse agreement, to be entered into between Shareholders’ Representative and Parent, substantially as protective as the Mutual Confidentiality Agreement dated July 14, 2010, between Parent and the Company, executed contemporaneously herewith.

  • Any monies, if and when received shall be released to the Contractor (less only the said percentage for professional fees, if any) by instalments on the Interim Certificates issued by the Superintending Officer.

  • Such Final Certification shall supersede all Initial and Interim Certificates relating to the same Custodial File.

  • Prepare and issue Interim Certificates where required by the Contract Documents.

  • After the issuance of the Certificate of Practical Completion, Interim Certificates shall be issued as and when further amounts are ascertained by the Architect and Quantity Surveyor as payable to the Contractor by the Employer.

  • Upon the Dematerialisation, the Interim Certificates have been delivered to the Central Depositary.

  • Long-term Occasional teaches employed on Interim Certificates of Qualifications shall be paid according to their Letter of Evaluation from OSSTF with the appropriate category placement.
