Internal Reorganisation definition

Internal Reorganisation means where immediately after a change of Control of the Company, all or substantially all of the share capital of the acquiring company is owned directly or indirectly by the persons who were shareholders in the Company immediately before the change of Control;
Internal Reorganisation means any compromise, arrangement or offer (including any Specified Event) which, in the reasonable opinion of the Board, having regard to the shareholdings in the Company and any acquiring company before and after the compromise, arrangement or offer and/or the consideration given for the acquisition of the Shares and/or any other matter which it considers relevant, is in the nature of an internal reorganisation or reconstruction of the Company;
Internal Reorganisation means any compromise, arrangement or offer (including any Specified Event) after which, in the reasonable opinion of the Board, Control of the Company remains substantially in the hands of the same person(s) as beforehand;

Examples of Internal Reorganisation in a sentence

  • In the event of an Internal Reorganisation, unless the Committee otherwise determines, an existing Award shall not Vest in accordance with this Rule 6 but with the agreement of the Acquiring Company shall be automatically released in consideration for the grant of a new Award in accordance with Rule 7.

  • Prior to the Internal Reorganisation, PGH was a direct wholly-owned subsidiary of Parkway Holdings Limited (“PHL”) which in turn is a direct wholly-owned subsidiary of PPL.

More Definitions of Internal Reorganisation

Internal Reorganisation means a reorganisation of the structure of the Company and its Subsidiaries (or all or substantially all of the business, assets and undertakings of the Company and its Subsidiaries), such that the ultimate beneficial ownership of the Company and its Subsidiaries (or all or substantially all of the business, assets and undertakings of the Company and its Subsidiaries) does not change;
