International Offer Price definition

International Offer Price means the final price per Share (exclusive of the Brokerage, the Trading Fee, the SFC Transaction Levy and the FRC Transaction Levy) at which the International Offer Shares are to be purchased under the Global Offering;
International Offer Price means the final offer price per International Offer Share in Hong Kong dollars (exclusive of brokerage of 1%, SFC transaction levy of 0.0027%, Hong Kong Stock Exchange trading fee of 0.005% and the FRC transaction levy of 0.00015%);
International Offer Price means the final price per Share (exclusive of the Brokerage, the Trading Fee, the Transaction Levy and the FRC Transaction Levy) at which the International Offer Shares are to be subscribed under the Global Offering;

Examples of International Offer Price in a sentence

  • If the International Offer Price is set at or lower than the maximum Public Offer Price, the Public Offer Price must be set at such price which is equal to the International Offer Price.

  • In no circumstances will the Public Offer Price be set above the maximum Public Offer Price as stated in the Hong Kong Prospectus or the International Offer Price.

  • Notwithstanding anything in this Agreement, none of the Joint Sponsors, the Joint Representatives, the Joint Global Coordinators, the Joint Bookrunners, the International Underwriters and any other Indemnified Party shall have any liability whatsoever to the Company or any other person in respect of any alleged insufficiency of the International Offer Price or any dealing price of the Shares (it being acknowledged by the parties that the Company is solely responsible in this regard).

  • If the Company and the Sole Representative reach agreement on the said prices, which is expected to be agreed by Tuesday, July 12, 2022, then such agreed prices shall represent the International Offer Price and Public Offer Price for the purposes of the Global Offering and for this Agreement and the parties shall record the agreed price by executing the Price Determination Agreement.

  • The Company will allot and issue the Over-allotment Shares at HK$118.00 per Class A Ordinary Share (exclusive of brokerage of 1.0%, SFC transaction levy of 0.0027% and Hong Kong Stock Exchange trading fee of 0.005%), being the International Offer Price.

  • In consideration of the agreement for the International Underwriters to purchase or procure purchasers for the International Offer Shares, the Company agrees to pay to the Joint Representatitves (on behalf of the Underwriters) a gross commission of [l]% of the aggregate International Offer Price and 1.25% of the aggregate Hong Kong Offer Price, as applicable (the “Underwriting Commission”).

  • If the International Offer Price is set at or lower than the Maximum Hong Kong Offer Price, the Hong Kong Offer Price must be set at such price which is equal to the International Offer Price.

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.
