Inventory Holdback Amount definition

Inventory Holdback Amount means an amount equal to [--] of the Estimated Inventory Value, calculated in accordance with the Valuation Model as of the Closing.
Inventory Holdback Amount means Three Hundred Thousand Five Hundred and Thirty Four Dollars and 29/100 ($300,534.29) to be held, disbursed and/or released by Buyer pursuant to the terms hereof.
Inventory Holdback Amount means US$900,000.

  • On the Closing Date, Buyer will pay (or cause to be paid) to Sellers, in cash by wire transfer of immediately available funds to the bank account(s) designated by Sellers, an aggregate amount equal to (i) $5,000,000, plus 2 (ii) the Transition Ventev Inventory Amount, plus (iii) the Estimated Inventory Value, minus (iv) the Inventory Holdback Amount, minus (v) the Deposit Amount.
