Investor Affiliate definition
Investor Affiliate means (i) the Investor or any of his immediate family members, and any such persons’ respective Affiliates and direct and indirect Subsidiaries, (ii) any sponsor, limited partnerships or entities managed or controlled by the Investor or any of his immediate family, or any of such persons’ respective Affiliates and direct or indirect Subsidiaries, (iii) any trust of the Investor or any of his immediate family, or any of such persons’ respective Affiliates and direct or indirect Subsidiaries or any trust in respect of which any such persons is a trustee, (iv) any partnership of which the Investor or any of his immediate family, or any of such persons’ respective Affiliates or direct or indirect Subsidiaries is a partner that is managed or controlled by the Investor, any of his immediate family or any of such persons’ respective Affiliates or direct or indirect Subsidiaries, and (v) any trust, fund or other entity which is managed by, or is under the control of, the Investor or any of his immediate family, or any of such persons’ respective Affiliates or direct or indirect Subsidiaries, but excluding the Issuer or any of its Subsidiaries.
Investor Affiliate means (i) the Investor or any of his immediate family members, and any such persons’ respective Affiliates and direct and indirect Subsidiaries, (ii) any sponsor, limited partnerships or entities managed or controlled by the Investor or any of his immediate family, or any of such persons’ respective Affiliates and direct or indirect Subsidiaries, (iii) any trust of the Investor or any of his immediate family, or any of such persons’ respective Affiliates and direct or indirect Subsidiaries or any trust in respect of which any such persons is a trustee, (iv) any partnership of which the Investor or any of his immediate family, or any of such persons’ respective Affiliates or direct or indirect Subsidiaries is a partner that is managed or controlled by the Investor, any of his immediate family or any of such persons’ respective Affiliates or direct or indirect Subsidiaries, and (v) any trust, fund or other entity which is managed by, or is under the control of, the Investor or any of his immediate family, or any of such persons’ respective Affiliates or direct or indirect Subsidiaries, but excluding the Borrower or any of its Subsidiaries.
Investor Affiliate means an Affiliate of Investor other than any “portfolio company” (as such term is customarily used among institutional investors) of Investor or any Affiliate of Investor.
Examples of Investor Affiliate in a sentence
Investor, on behalf of itself and the Investor Affiliates, agrees that neither Investor nor any Investor Affiliate may enter into any contract with the Company or any of its subsidiaries without the approval of a majority of the independent and disinterested members of the Board.
Except as otherwise provided in this Agreement, the provisions of this Agreement shall inure to the benefit of, and be binding upon, the successors, assigns, heirs, executors, and administrators of the parties; provided, however, the rights of the Investor under this Agreement shall not be assignable to any Person without the consent of the Company other than to an Investor Affiliate that executes a Joinder.
Notwithstanding anything to the contrary set forth in this Agreement, in no event shall the cumulative liability of Investor and any Investor Affiliate under this Agreement exceed the Commitment.
Notwithstanding the foregoing, in all circumstances, the liability of each of C-round Lead Investor and C-round Lead Investor Affiliate shall be several, and not joint or joint and several.
Notwithstanding the foregoing, neither the Corporation nor any Person controlled by the Corporation shall be deemed to be an Investor Affiliate of any Investor for purposes of this Agreement.
More Definitions of Investor Affiliate
Investor Affiliate means, with respect to the Investor, any entity controlled by, controlling or under common control with the Investor (which, for clarity, will include the Parent Entity and all entities controlled by the Parent Entity), but excluding operating or portfolio companies, investment funds or investee companies;
Investor Affiliate means any affiliate of the Investor, including a transferee who is an affiliate of the Investor, and any Person who controls the Investor or any affiliate of the Investor within the meaning of Section 15 of the 1933 Act or Section 20 of the 1934 Act; and
Investor Affiliate means Baring Private Equity Asia, each of its Affiliates (together, the “Relevant Investors”), any trust of which a Relevant Investor is a trustee, any partnership of which a Relevant Investor is a partner and any trust, fund or other entity which is managed by, or is under the control of a Relevant Investor.
Investor Affiliate means any holding company which directly or indirectly owns 100 per cent of the shares in the Issuer, and which is ultimately owned by the Investors.

Investor Affiliate means (i) any Investor and each of its Affiliates, (ii) any sponsor, limited partnerships or entities managed or advised by an Investor or any of its Affiliates, (iii) any trust of an Investor or any of its Affiliates or in respect of which any such persons are a trustee, (iv) any partnership of an Investor or any of its Affiliates or in respect of which any such persons are a partner and (v) any trust, fund or other entity which is managed by, or is under the control of, an Investor or any of its Affiliates, but excluding (in each case) (A) any fund or entity that is affiliated with or managed and/or advised by any Investor where the principal business of such affiliated fund or entity is investing in debt (other than any such entity which is a Lender under Facility B2 or, following a Facility B2 Reallocation Date, a Lender under Facility B1) and (B) any member of the Group.
Investor Affiliate means (i) the Investor, (ii) any Qualified Distribution Transferee, and (iii) each Affiliate of any of the foregoing, until such time as such Person is not an Affiliate of the Investor and/or any Qualified Distribution Transferee.
