Sponsor Affiliate definition

Sponsor Affiliate means an entity that joins with the Company and that participates in the investment in, or financing of, the Project and which meets the requirements under the FILOT Act to be entitled to the benefits of this Fee Agreement with respect to its participation in the Project, all as set forth in Section 5.13 hereof.
Sponsor Affiliate means the collective reference to any entities (other than a portfolio company) controlled directly or indirectly by the Sponsor.
Sponsor Affiliate means (i) each Affiliate of the Sponsor that is neither an operating company nor a company controlled by an operating company, (ii) each partner, officer, director, principal or member of the Sponsor or any Sponsor Affiliate and (iii) any spouse, parent or lineal descendant (including by adoption) of any of the foregoing who are natural persons and any trust for the benefit of such persons.

  • Prior to disclosing any confidential or proprietary information or allowing inspections of the Project or any property associated therewith, the Company and, as applicable, any Sponsor Affiliate, may require the execution of reasonable, individual, confidentiality and non-disclosure agreements by any officers, employees or agents of the County or any supporting or cooperating governmental agencies who would gather, receive or review such information or conduct or review the results of any inspections.

  • The County and the Company hereby agree that Kemet Electronics Corporation, a Delaware corporation, is a Sponsor Affiliate pursuant to this Fee Agreement and the Simple Fee Act and is entitled to the benefits of this Fee Agreement.

Sponsor Affiliate means, in relation to the Sponsor, any company with direct or indirect Decisive Influence there over or any of its Subsidiaries or any other Subsidiary of any such companies, and any fund, partnership and/or other entities represented, managed, advised, owned or controlled by the Sponsor or any of its Sponsor Affiliates and any Sponsor Affiliate of any such fund, partnership or entity but does not include any portfolio company of the Sponsor or of any Affiliate of the Sponsor and, in the context of a person or persons achieving or having control over another person, "control" for the purposes of this definition means the person or persons acting in concert controlling, or being able to control, the composition of the board of directors or equivalent management board of that other person or the person or persons acting in concert in accordance with whose directions a majority of the board of directors or equivalent management board of that other person are or become accustomed to act.
Sponsor Affiliate means each Sponsor, each of its Affiliates, any trust of which such Sponsor or any of its Affiliates is a trustee, any partnership of which such Sponsor or any of its Affiliates is a partner and any trust, fund or other entity which is managed by, or is under the control of, such Sponsor or any of its Affiliates provided that any such trust, fund or other entity which has been established for at least six (6) months solely for the purpose of making, purchasing or investing in loans or debt securities and which is managed or controlled independently from all other trusts, funds or other entities managed or controlled by such Sponsor or any of its Affiliates which have been established for the primary or main purpose of investing in the share capital of companies shall not constitute a Sponsor Affiliate.
