Investor Funds definition

Investor Funds means any investment fund, managed account, side-by-side vehicle, co-investment vehicle, holding company, aggregator vehicle or other similar investment vehicle managed, advised or controlled by BC Partners Advisors L.P. or any Affiliate thereof or of which BC Partners Advisors L.P. or any Affiliate thereof serves as the general partner, managing member or discretionary manager (excluding, in each case, any Portfolio Company);
Investor Funds means monies provided to the Defendants or any of them, whether directly, or through any of the other Defendants, or any of the Defendants’ authorised agents, servants and/or representatives, for the actual or ostensible purpose of providing to investors, or arranging for investors to acquire, an interest in a financial product (including, but not limited to, a convertible note) and/or one or more of the Defendants otherwise dealing with such funds for the purpose of providing a return to investors on the funds invested.
Investor Funds means an amount equal to the Purchase Price and the $1,875,200.00 Investor Subordinated Loan.

Examples of Investor Funds in a sentence

  • The Escrow Agent shall have no duty or obligation to monitor the application and use of the Investor Funds once transferred to the Company, that being the sole obligation and responsibility of the Company.

  • The Escrow Agent shall have no duty to make any disbursement, investment or other use of Investor Funds until and unless it has good and collected funds.

  • The Escrow Agent shall not be required to accept any Investor Funds which are not accompanied by the information on the List of Investors.

  • Notwithstanding the foregoing, Investor Funds shall not be invested in anything other than “Short Term Investments” in compliance with Rule 15c2-4 of the Securities Exchange Act of 1934, as amended.

  • If a successor escrow agent is not appointed by the Company within the 30-day period following such notice, the Escrow Agent may petition any court of competent jurisdiction to name a successor escrow agent, or may interplead the Investor Funds with such court, whereupon the Escrow Agent’s duties hereunder shall terminate.


More Definitions of Investor Funds

Investor Funds means any limited partnerships, general partnerships, investment trusts, investment companies or other investment funds or investment vehicles, sovereign wealth funds, pension funds or any corporate bodies or other entities or funds or separate managed accounts (including, in each case, any alternative investment vehicles, co-investment vehicles, parallel funds or feeder funds thereof or related thereto), in each case, that are, directly or indirectly, formed, advised, managed or controlled by GIM, any ultimate parent entity of any limited partner of any of the foregoing (including vehicles managed by GIM), any entity that controls or manages any of the foregoing entities (including vehicles managed by GIM) or any successor advisor, manager or controlling person of the investment funds formed, advised, managed or controlled thereby.
Investor Funds has the meaning provided in Section 3.02(f)(i).
Investor Funds has the meaning ascribed to in Section 5.5(g) hereof;
Investor Funds means monies provided to the Defendants, whether directly or to the Defendants’ authorised agents, servants and/or representatives, for the actual or ostensible purpose of investing in the M Core Fixed Income Product or the M+ Fixed Income Product.
Investor Funds means any monies provided by any Investor to the first respondent, his servants and/or agents, since January 2011 (including any interest, profit or dividend on those monies), in relation to any financial services business carried on by him.
