IP Materials definition

IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

IP Materials means all documents, software, photographic or graphic works of any type, and other materials in any medium or format which are created by or on behalf of the Executive in the course of performing his obligations under this Agreement and which are protected by or relate to Intellectual Property Rights.

Examples of IP Materials in a sentence

• All Intellectual Property Rights created as a result of the performance of this Agreement ("IP Materials") shall vest in the Commissioner.

More Definitions of IP Materials

IP Materials means any materials used or developed for the purposes of the Contract including any programme materials, guidance, papers and research data, results, specifications, instructions, toolkits, plans, data, drawings, databases, patents, patterns, models and designs.

IP Materials will also include all inventions that (i) are developed by the Employee using equipment, supplies, facilities, trade secrets, Intellectual Property, Confidential Information or proprietary information of the Company, (ii) result from work performed and services rendered by the Employee for the Company or otherwise during the term of the Employee’s relationship or engagement with the Company, or (iii) relate to the Company’s business or actual or demonstrably anticipated research and development.
