Examples of IPO Bonus in a sentence

  • Equity Compensation and IPO Bonus RSU’s (“Delayed Equity Compensation”) for which the Notice of Grant has been delayed shall be calculated by dividing the total delayed equity compensation and IPO Bonus value by the closing share price on the final trading day of the first week after the Company’s Pubco Equity Plan has been approved (“Grant Date”).

  • The IPO Bonus RSU’s will be granted as fully vested RSU’s via a Notice of Grant subject to Section 3 (c) below.

  • The IPO Bonus Option shall vest ratably on a daily basis over the period beginning on the date the IPO Bonus Option is granted pursuant to this Section 5(b) and ending on the fifth anniversary of such date.

  • Notwithstanding the foregoing provisions of this Section 5, the IPO Bonus Option, the Initial Annual Option, the Annual Options and any other stock options granted to the Employee by the Company (collectively, "the Options") shall vest fully upon the termination of the Employee's employment for circumstances described in clause (i), (iv) or (v) of the definition of Good Reason.

  • The IPO Bonus, if any, will not be deemed “earned” until the date that that the IPO is completed.

  • In addition to your salary and bonus, you will receive a Change of Control Bonus that is described in full in Appendix 1 at the end of this document or IPO Bonus Shares as described in full in Appendix 2.

  • The IPO Bonus shall be subject to such deductions and withholdings as are required by law and otherwise elected by the Executive.

  • Payment of the IPO Bonus will be made on the first regularly scheduled payroll date that follows the completion of the IPO.

  • The IPO Bonus shall not vest unless you remain continuously employed by Company or any of its subsidiaries from the date hereof until the consummation of the Initial Public Offering.

  • Except in the case of termination by the Company without cause or by the Executive for Good Reason, Executive must be employed by the Company on the IPO Bonus payment date in order to be eligible for any such payment.

Related to IPO Bonus

  • Cash Bonus means an award of a bonus payable in cash pursuant to Section 10 hereof.

  • Annual Bonus shall have the meaning set forth in Section 4(b) hereof.

  • Accrued Bonus means the bonus, which may be negative or positive, which is calculated in the manner set forth in Section V.A.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).
