Except during the Startup Period, and except as set forth in Section 3.19(b) and Exhibit R (with respect to Seller’s obligation to pay ISO Sanctions), SCE shall (i) be responsible for ISO Charges, and (ii) receive all ISO revenues (including credits and other payments) incurred or received as a result of providing Scheduling Coordinator services or attributable to generation from the Generating Facility, including costs and revenues associated with ISO dispatches.
ISO Charges incurred after the effective date will be allocated to the Utility, consistent with Exhibit D.
The amount of Taxes, fees or other liabilities prorated upon the Closing pursuant to Section 2.8(a), including without limitation the Closing Month Capacity Payment and the Closing Month ISO Charges, shall be adjusted upon the request of either Sellers, on the one hand, or Buyer, on the other hand, made within sixty (60) days of the date the actual amounts become available.
Upon CDWR’s and SCE’s joint determination of such amounts, SCE shall remit Other ISO Charge Remittances for Other ISO Charges previously paid by CDWR as a lump sum no later than September 1, 2002.
Shortfall Funding Arrangement, as specified in Section 5.1 of the ISO New England Billing Policy, is a separate financing arrangement that can be used to make up any non-congestion related differences between amounts received on Invoices and amounts due for ISO Charges in any bill issued.
