Issuer Available Funds definition

Issuer Available Funds means an amount calculated on each Issuer Determination Date, without double counting:

• Should such a sale of the Portfolios take place, the proceeds of such sale shall be treated by the Issuer as the Issuer Available Funds and as from the immediately subsequent Payment Date shall be applied to payments due to be made by the Issuer according to the Acceleration Order of Priority.

• Each Noteholder and Other Issuer Creditor will have a claim against the Issuer only to the extent of the Issuer Available Funds net of any claims ranking in priority to or pari passu with such claims in accordance with the Priority of Payments.

• The Enforcement Proceeds arising from the Security form part of the Issuer Available Funds which are distributed in accordance with the Acceleration Priority of Payments.
