Key Supplier definition

Key Supplier has the meaning set forth in Section 3.20(b).
Key Supplier shall have the meaning set forth in Section 4.21.
Key Supplier means each supplier associated with the Business (other than the Sellers or their Affiliates) that provided either Seller, or the Sellers, in the aggregate, in excess of $10,000,000 of goods or services for the Business during the 12-month period ended December 31, 2005.

  • Supplier shall also maintain active succession plans for each of the Key Supplier Personnel positions.

  • To the Knowledge of the Company, no Key Supplier has otherwise threatened to take any action described in the preceding sentence as a result of the consummation of the transactions contemplated by this Agreement.

  • In no event will Supplier re-deploy or re-assign any Key Supplier Personnel to another customer or account in the event of the occurrence of a force majeure event.

More Definitions of Key Supplier

Key Supplier has the meaning set forth in Section 5.21(c).
Key Supplier shall have the meaning ascribed to such term in Section 3.1(t). “Knowledge of the Company,” “the Company’s Knowledge” and terms and phrases of similar import, whether or not capitalized, mean the actual knowledge after due inquiry possessed by the Chief Executive Officer, the Chief Financial Officer, the Senior Vice Presidents, Vice Presidents of the Company, and other executive officers principally responsible for the management of the Company.
Key Supplier means the ten (10) most significant suppliers of the FH Business, set forth in Section A(8) of the Seller’s Disclosure Letter, based on amounts invoiced during the twelve (12) month period ended December 31, 2016.
Key Supplier means each of the top twenty (20) suppliers or vendors of the Business who provide goods or services to the Business through Contracts directly with Seller or any of its Subsidiaries, determined on the basis of the aggregate spend of the Business for the twelve (12) month period ended December 31, 2023, and each of the top twenty (20) suppliers or vendors of the Business who provide goods or services to the Business through Contracts directly with Seller or any of its Affiliates, determined on the basis of the aggregate spend of the Business for the five (5) month period ended May 31, 2024, in each case as set forth on Schedule 1.1(e) of the Seller Disclosure Schedule.
Key Supplier means (i) each of the 10 largest suppliers associated with the Base Chemicals Business (other than the Sellers or their Affiliates) based on aggregate purchases of goods or services for the Business during the two-year period ended December 31, 2006, and (ii) each of the 15 largest suppliers associated with the Polymers Business (other than the Sellers or their Affiliates) based on aggregate purchases of goods or services for the Polymers Business during the twelve-month period ended December 31, 2006.
Key Supplier has the meaning assigned to it in Section 2.17(b).
Key Supplier means any supplier to any Group Company which: (i) together with its Affiliates, in the financial year ended on the Accounts Date accounted for, or in the current financial year is among the top ten suppliers in terms of expenditures of the Company Group on a consolidated basis; or (ii) cannot readily be replaced without a Material Adverse Effect on the business of the Company Group taken as a whole.
