Key Supplier definition

Key Supplier is defined in Section 3.20(a).

Key Supplier shall have the meaning set forth in Section 4.21.

Key Supplier means each supplier associated with the Business (other than the Sellers or their Affiliates) that provided either Seller, or the Sellers, in the aggregate, in excess of $10,000,000 of goods or services for the Business during the 12-month period ended December 31, 2005.

More Definitions of Key Supplier

Key Supplier shall have the meaning ascribed to such term in Section 3.1(u). “Knowledge of the Company,” “the Company’s Knowledge” and terms and phrases of similar import, whether or not capitalized, mean the actual knowledge possessed by the President, the Chief Financial Officer, and the Senior Vice President of Operations of the Company, after due inquiry in light of such Person’s position and area(s) of responsibility.

Key Supplier has the meaning set forth in Section 5.21(c).

Key Supplier means the ten (10) most significant suppliers of the FH Business, set forth in Section A(8) of the Seller’s Disclosure Letter, based on amounts invoiced during the twelve (12) month period ended December 31, 2016.

Key Supplier means (i) each of the 10 largest suppliers associated with the Base Chemicals Business (other than the Sellers or their Affiliates) based on aggregate purchases of goods or services for the Business during the two-year period ended December 31, 2006, and (ii) each of the 15 largest suppliers associated with the Polymers Business (other than the Sellers or their Affiliates) based on aggregate purchases of goods or services for the Polymers Business during the twelve-month period ended December 31, 2006.

Key Supplier has the meaning assigned to it in Section 2.17(b).

Key Supplier means any supplier to the Group Companies (taken as a whole) which in the financial year ended on the Accounts Date accounted for expenditure in excess of US$[***];

Key Supplier shall have the meaning set forth in Section 3.13(a). knowledge. Information shall be deemed to be known to or to the “knowledge” of Seller if that information is actually known by Xxxxx Xxxxxx, Xxxx Xxxxxxxxx, Xx Xxxxxx, Xxxxx Xxxxx and Xxxx Xxxxx and any other director or officer of Seller or the Company or would reasonably be expected to be known by such person after reasonable investigation by such person. Information shall be deemed to be known or to the “knowledge” of Purchaser if that information is actually known by any director or officer of Purchaser or Xxxxxx Xxxxx, Xxxxxxx Xxxxxxxx or Xxxx Xxxxxxx or would reasonably be expected to be known by such person after reasonable investigation by such person.
