Kineo Software definition

Kineo Software means any computer software licensed to the Customer under this Agreement in order for the Customer to access the Kineo Courses or Third Party Courses, as set out in the Proposal. Kineo Software means the software proprietary to Kineo, which consists of enhancements, changes, upgrades, bug fixes, and other modifications to the Totara Enterprise Extension element of the Totara Platform, and is used by Kineo to deliver the Service to the Client. Learning Management System means: - the Service; - the Kineo Materials; - the Client Materials; - any Bolt-on; and - any Change, operating together to deliver a learning management system as an internal business process of the Client. Open Source Software means software which may be used to deliver the Service which is generally available to internet users and not subject to licence by an intellectual property owner for commercial gain, excluding (for the avoidance of doubt) the Totara Platform and the Kineo Software. Party or Parties means the Client and Kineo individually or together as applicable, as defined in the Special Terms. Payment Term means the period within which an invoice must be paid, as set out in the SOW. Renewal Term means the renewal term of the SOW (if applicable) as set out in the SOW. Service means the provision of the Software as a hosted service, together with the support and maintenance of the Software, as set out in a SOW. Software means the Totara Platform, Kineo Software, any Open Source Software, and any Third Party Software provided by ▇▇▇▇▇, in the provision of the Service. Term means the Implementation Period, Initial Term and, if applicable, each Renewal Term. Third Party Intellectual Property means any material comprising or incorporating Intellectual Property Rights which belong to a third party.
