  • Seller and KXII Television have not incurred any liability to the Pension Benefit Guaranty Corporation with respect to any such plan.

  • Neither Seller nor KXII Television nor any such employee benefit plan is liable for any material fine, excise tax, or loss of income tax deduction with respect to the operation of any such employee benefit plan.
