• Of the Guaranteed Advertising Amount, no less than sixty percent (60%) will be made available on the Networks and, subject to availability, the TuTv Networks, and the remainder on the Stations; provided, that, subject to Licensee’s written consent (which may be withheld in its sole discretion), the Guaranteed Advertising Amount may also be made available on any other Linear Television Channel.

• It is understood and agreed that, notwithstanding anything to the contrary contained herein, Univision Group shall not pursue a Proposed New Business that consists primarily of the ownership and/or operation of a Spanish language Linear Television Channel in the Territory during the Term.

• It is understood and agreed that, notwithstanding anything to the contrary contained herein, Grupo Televisa shall not pursue a Stand Alone Business that consists primarily of the ownership and/or operation of a Spanish language Linear Television Channel in the Territory during the Term.
