Examples of Last Funding in a sentence

  • Any payments made by you after the applicable Last Funding Date (or any payments made prior to the Last Funding Date in amounts less than your required capital commitment) will not be accepted by the Fund, and you will be required to fund such capital commitment together with any new required capital commitment, in respect of the next applicable Funding Deadline.

  • You shall be deemed to be delinquent as to a Funding Deadline if you fail to fund the required capital commitment for that Funding Deadline, or if you have any outstanding obligations in respect of a prior Funding Deadline which remain unsatisfied as of such Last Funding Date.

  • Any payments made by you after the applicable Last Funding Date (or any payments made prior to the Last Funding Date in amounts less than your required capital commitment) will not be accepted by the Fund and you will be required to fund such capital commitment together with any new required capital commitment, in respect of the next applicable Capital Call Deadline.

  • Any payments made by such Unitholder after the applicable Last Funding Date (or any payments made prior to the Last Funding Date in amounts less than such Unitholder’s required capital commitment) will not be accepted by the Company, and such Unitholder, other than a Defaulting Unitholder (as defined below) will be required to fund such capital commitment together with any new required capital commitment, in respect of the next applicable Capital Call Deadline.

  • A Unitholder shall be deemed to be delinquent as to a Capital Call Deadline if it has failed to fund the required capital commitment for that Capital Call Deadline or if the Unitholder has any outstanding obligations in respect of a prior Capital Call Deadline, which remain unsatisfied as of such Last Funding Date.

  • Any payments made by such Unitholder after the applicable Last Funding Date (or any payments made prior to the Last Funding Date in amounts less than such Unitholder’s required capital commitment) will not be accepted by the Company, and such Unitholder, other than a Defaulting Unitholder (as defined below), will be required to fund such capital commitment together with any new required capital commitment, in respect of the next applicable Funding Deadline.

  • A Unitholder shall be deemed to be delinquent as to a Funding Deadline if it has failed to fund the required capital commitment for that Funding Deadline or if the Unitholder has any outstanding obligations in respect of a prior Funding Deadline, which remain unsatisfied as of such Last Funding Date.

  • Lessor is not obligated to purchase or lease a unit of Equipment unless before the Last Funding Date: (i) Lessor receives from Lessee a fully signed and completed Agreement, a Schedule, and such other documents as Lessor may require; (ii) Lessor has received from Supplier clear and unencumbered title to the Equipment; and (iii) there is no Default (Section 13).

  • If the Commencement Date under a Lease does not take place on or before the Last Funding Date, we may extend the Last Funding Date, provided that in consideration of any such extension, we reserve the right to adjust the lease rate factor and your Lease Payments to maintain our after tax economic yield and cash flow, and we will notify you of any such adjustments.

Related to Last Funding

  • Match funding or “match share” means cash or in-kind (non-cash) contributions provided by the Applicant/Recipient, subcontractors, or other parties that will be used in performance of the proposed project. Match share percentage is calculated by dividing the total match share contributions by the total allowable project cost. “Total allowable project cost” is the sum of the CEC’s reimbursable share and Recipient’s match share of the project costs. Match share expenditures have the following requirements:

  • CarMax Funding means CarMax Auto Funding LLC, a Delaware limited liability company.

  • Interest Funding Account shall have the meaning specified in subsection 4.2(b).

  • Initial Funding means the funding of the initial Loans or issuance of the initial Letters of Credit upon satisfaction of the conditions set forth in Sections 6.01 and 6.

  • Pre-Funding Period means the period beginning on the Closing Date and ending on the earliest of (a) the date on which the amount on deposit in the Pre-Funding Account is less than $10,000, (b) the Funding Termination Date or (c) the date on which an Event of Termination occurs.

  • Project Funding means the funding for the Services;

  • Table funding means a settlement at which a mortgage loan is funded by a contemporaneous advance of loan funds and an assignment of the loan to the person advancing the funds.

  • High-Cost Home Loan as defined in the New Mexico Home Loan Protection Act effective January 1, 2004; (iii) “High-Cost Home Mortgage Loans” as defined in the Massachusetts Predatory Home Loan Practices Act effective November 7, 2004 and (iv) “High Cost Home Loans” as defined in the Indiana Home Loan Practices Act effective January 1, 2005.

  • Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.

  • Reserve Account Funding Date means the Distribution Date which occurs not later than the earliest of (a) the Distribution Date with respect to the Monthly Period that commences not later than three months prior to the Distribution Date with respect to the first Monthly Period in the Controlled Accumulation Period, (b) in the event that the average Excess Spread Percentage for any three consecutive Monthly Periods ending in the May 2023 Monthly Period or any Monthly Period thereafter is less than 2%, the Distribution Date with respect to such Monthly Period, (c) in the event that the average Excess Spread Percentage for any three consecutive Monthly Periods ending in the November 2023 Monthly Period or any Monthly Period thereafter is less than 3%, the Distribution Date with respect to such Monthly Period and (d) such earlier Distribution Date as the Transferor may determine by written notice to the Trustee and the Servicer. For this purpose, the “Excess Spread Percentage” for any Monthly Period shall be equal to the Series Adjusted Portfolio Yield for such Monthly Period minus the Base Rate for such Monthly Period.

  • Offering Funding Date means the date on which the offering for the Series Asset is fully funded through an offering conducted by the Company.

  • Excess Funding Account shall have the meaning specified in Section 4.02.

  • student loan means a loan towards a student’s maintenance pursuant to any regulations made under section 22 of the Teaching and Higher Education Act 1998, section 73 of the Education (Scotland) Act 1980 or Article 3 of the Education (Student Support) (Northern Ireland) Order 1998 and includes, in Scotland, a young student’s bursary paid under regulation 4(1)(c) of the Students’ Allowances (Scotland) Regulations 2007.

  • Additional Funding has the meaning prescribed to that term in clause 4.3 of this Agreement.

  • High Cost Loan is each loan identified in the column "Category under applicable anti-predatory lending law" of the table entitled "Standard & Poor's High Cost Loan Categorization" in the Glossary as each such loan is defined in the applicable anti-predatory lending law of the State or jurisdiction specified in such table and (y) a "Covered Loan" is each loan identified in the column "Category under applicable anti-predatory lending law" of the table entitled "Standard & Poor's Covered Loan Categorization" in the Glossary as each such loan is defined in the applicable anti-predatory lending law of the State or jurisdiction specified in such table.

  • Principal Funding Account shall have the meaning specified in subsection 4.03(a)(i).

  • Pre-Funding Account means the account designated as the Pre-Funding Account in, and which is established and maintained pursuant to Section 7.07.

  • Construction Funding Subsidy or “CFS” means the funding that the MOHLTC agreed to provide, or to ensure the provision of, to the HSP, in an agreement for the construction, development, redevelopment, retrofitting or upgrading of beds (a “Development Agreement”).

  • Startup Date The day designated as such pursuant to Article X hereof.

  • the CE of Skills Funding means the Chief Executive of Skills Funding;

  • Liquidity Funding means (a) a purchase made by any Committed Lender pursuant to its Liquidity Commitment of all or any portion of, or any undivided interest in, an applicable Conduit’s Loans, or (b) any Loan made by a Committed Lender in lieu of such Conduit pursuant to Section 1.1.

  • Pre-Funding Earnings means any Investment Earnings on amounts on deposit in the Pre-Funding Account.

  • Contribution Date has the meaning set forth in Section 4.3 hereof.

  • Accumulation Reserve Funding Period shall not apply if the Calculation Agent on behalf of the Issuer notifies the Indenture Trustee that it expects the Accumulation Period Length to be adjusted to one (1) month, and otherwise shall mean a period commencing on the first Distribution Date on which a condition in the right column of the following table was in effect on the immediately preceding Distribution Date, if the Distribution Date is a Distribution Date described in the corresponding left column of the following table, and ending on the Distribution Date immediately preceding the earlier to occur of:

  • Group I The pool of Mortgage Loans identified in the related Schedules of Mortgage Loans as having been assigned to Group I, including any Qualified Replacement Mortgages delivered in replacement thereof and each Subsequent Mortgage Loan delivered to the Trust for inclusion therein.

  • AML/CFT means anti-money laundering and countering the financing of terrorism;
