Latest Accounts means, in respect of any financial quarter or year of the Group, the latest unaudited (in respect of each financial quarter) or audited (in respect of each financial year) financial statements required to be prepared pursuant to clause 8.1.6;

• Except as Disclosed in the Company SEC Filings, no change in the policies of accounting (aside from changes as required by and in conformity with US GAAP) has been made in preparing the accounts of the Group or any Group Member for each of the previous three (3) financial years of the Group or any Group Member ended on the Latest Accounts Date, except as stated in the accounts for such period.

• Since the Latest Accounts Date and at all times up to the Completion Date, no material change has occurred to the assets and liabilities (whether actual or contingent) shown in the Existing Financial Statements and there has been no material reduction in the value of the Assets of any Group Member.

Latest Accounts means in the case where:-

Latest Accounts means the non-consolidated accounts approved by the Issuer relating to the Financial Year End Date immediately preceding the financial year in which the relevant Interest Payment Date falls or, where such accounts are not available, the last set of non-consolidated financial statements as of and for a period ending on a Financial Year End Date approved by the Issuer prior to the relevant Interest Payment Date;

Latest Accounts. – means the most recent set of Accounts which have been Filed or otherwise collected by Experian pursuant to Rule E2.2(1) relating to the Employer, Ultimate Parent or Group Subsidiary (as the case may be).
