Liberty Parties definition

Liberty Parties means Liberty Holdings and each of its Subsidiaries.

Liberty Parties means Liberty USA Holdings, LLC, a Delaware limited liability company (and any successor or assign or acquirer of a Liberty Party (whether by merger, consolidation, sale of assets or otherwise) provided that such Liberty Party shall have caused such successor, assign or acquirer to enter into an agreement, in writing in form and substance reasonably satisfactory to the Issuer, to be bound by the terms and provisions of this Agreement as a condition of any such transaction.

Liberty Parties means (x) Liberty, (y) Liberty Holdings, and (z) each Liberty Controlled Affiliate that acquires record ownership of any Equity Securities of ILG, in the case of a Person described in clause (y) or (z), until such time as such Person is not a Liberty Controlled Affiliate or ceases to have record ownership of any ILG Common Stock or Equity Securities of ILG, as the case may be.

Examples of Liberty Parties in a sentence

• That certain Standstill Agreement dated as of the date hereof among United and the Liberty Parties.

• The Stockholders Agreement dated as of the date hereof among United, the Liberty Parties, and certain other stockholders of United.

• Any certificate signed by any officer of any of the Liberty Parties and delivered to the Underwriters or counsel for the Underwriters in connection with the offering of the Shares shall be deemed a representation and warranty by the Liberty Parties, as to matters covered thereby, to the Underwriters.

Liberty Parties means Franchise Group Intermediate L 1, LLC, a Delaware limited liability company, and each of its Subsidiaries.

Liberty Parties means (i) the Investor, (ii) any Qualified Distribution Transferee, and (iii) each Affiliate of any of the foregoing, until such time as such person is not an Affiliate of the Investor and/or any Qualified Distribution Transferee.

Liberty Parties means Liberty and the Stockholder.

Liberty Parties shall have the meaning ascribed to such term in the Investment Agreement.
