Lien Documents definition

Lien Documents means the Pledge and Security Agreement, the Deposit Account Control Agreements and any other instruments, documents and agreements delivered by or on behalf of the Company and its Affiliates in order to grant to and perfect in favor of Xxxx a security interest in and lien on all real, personal or mixed property of any nature of the Company and its Affiliates (subject to customary exclusions acceptable to Xxxx) as security for the obligations of the Company pursuant to this Agreement and the other Transaction Documents.

Lien Documents. As Secured Party deems necessary, each Grantor shall execute and deliver to Secured Party, or have executed and delivered (all in form and substance satisfactory to Secured Party), any agreements, documents, instruments and writings, required to evidence, perfect or protect Secured Party's lien and security interest in the Collateral required hereunder.

Lien Documents means the First Lien Documents and the Second Lien Documents.

• Additionally, in the event the First Lien Obligations of any Series are modified pursuant to applicable law (including, without limitation, pursuant to Section 1129 of the Bankruptcy Code), any reference to such First Lien Obligations or the First Lien Documents governing such First Lien Obligations shall refer to such obligations or such documents as so modified.

• In the event of any conflict between the provisions of this Agreement and the provisions of the First Lien Documents or the Second Lien Documents, the provisions of this Agreement shall govern and control.

• In connection with any matter under this Agreement requiring a vote of holders of Parity Lien Debt, each Series of Parity Lien Debt will cast its votes in accordance with the Parity Lien Documents governing such Series of Parity Lien Debt.

• In exercising rights and remedies with respect to the Collateral, the Priority Lien Agent and the other Priority Lien Secured Parties may enforce the provisions of the Priority Lien Documents and exercise remedies thereunder, all in such order and in such manner as they may determine in their sole discretion and regardless of whether such exercise and enforcement is adverse to the interest of any Second Lien Secured Party or Third Lien Secured Party.

More Definitions of Lien Documents

Lien Documents means the Loan Documents (as defined in the Credit Agreement), the Indentures, the Subsidiary Guarantee Agreements and the Additional Lien Documents and other documents governing the Obligations.

Lien Documents means the Pledge and(i) prior to the LC Facility Amendment Effective Date, the Security Agreement, the Deposit Account Control Agreements and any other instruments, documents and agreements delivered by or on behalf of the Company and its Affiliates in order to grant to and perfect in favor of Xxxx a security interest in and lien on all real, personal or mixed property of any nature of the Company and its Affiliates (subject to customary exclusions acceptable to Xxxx) as security for the obligations of the Company pursuant to this Agreement and the other Transaction Documents. in effect prior to the LC Facility Amendment Effective Date, and (ii) from and after the LC Facility Amendment Effective Date, the Security Agreement and any other instruments, documents and agreements delivered by or on behalf of the Company and its Affiliates in order to grant to and perfect in favor of the Collateral Agent a security interest in and Lien on all real, personal or mixed property of any nature of the Company and its Affiliates (subject to customary exclusions acceptable set forth in the Transaction Documents ) as security for the obligations of the Company pursuant to this Agreement and the other Transaction Documents in effect after the LC Facility Amendment Effective Date, subject to the Collateral Agency Agreement.

Lien Documents means all agreements, security agreements, control agreements, mortgages or other instruments or documents executed and delivered to evidence, create or perfect the Lien granted by the Company in and to the Collateral in favor of the Trustee for the ratable benefit of the Holders of Senior Debt, as now existing or hereafter executed, modified, amended, substituted or replaced. Attached hereto as Exhibit is a copy of an executed counterpart of a Security Agreement between the Company and the Trustee, a Deposit Account Control Agreement among the Company, the Trustee and the banking institution a party thereto, and a Securities Intermediary Control Agreement among the Company, the Trustee and the brokerage company a party thereto.
