Lien Releases. A release (in forms acceptable to Buyer) of Liens made by Seller affecting the Assets.

Lien Releases means such UCC termination statements and release of lien instruments in recordable form as may be necessary to evidence, effective on or before Closing, the termination and release of any and all financing statements, security agreements, deeds of trust or mortgages which encumber the Purchased Assets and which secure indebtedness of Sellers or their Affiliates as at Closing.

Lien Releases. -means the releases, termination statements or similar instruments as necessary to release, discharge and terminate any Encumbrances granted in connection with the Credit Agreement on or with respect to the shares of capital stock of IRG. "Material Adverse Effect"--a material adverse effect on the financial condition, business relationships or economic prospects of any of the Companies or of the Companies taken as a whole.

• Seller owns the Improvements and Personal Property free and clear of all Liens (or, without limiting Seller’s obligation to deliver Lien Releases at Closing, will own such Assets free and clear of all Liens on the Closing Date assuming complete termination of the Loan Documents) which secure Indebtedness.

• Submit to the Owner’s Authorized Representative Lien Releases in accordance with OUS General Conditions for Public Improvement Contract Section K.8. 3.04.

• Proof of Payroll submissions and appropriate Lien Releases are required with each invoice to the City.

Lien Releases means the LLCP Lien Release and the Greenwich Lien Release, collectively.

Lien Releases means releases, discharges, termination statements and other documentation or evidence in form and substance reasonably satisfactory to ITOCHU for any and all Liens securing Indebtedness for Borrowed Money of Dole or its Affiliates applicable to any of the DAL Shares, the DPF Interests, any shares or other equity interests in any Acquired Entity or any of Acquired Entity’s tangible and intangible assets, including, without limitation, the Acquired Entities’ ownership interests, as the case may be, in the Asia Fresh Entities, the Worldwide Packaged Food Entities, the Asia Fresh Business or the Worldwide Packaged Food Business, which releases, discharges, termination statements and other documentation or evidence when delivered by Dole to ITOCHU at Closing and duly filed or recorded shall fully and irrevocably satisfy, remove, release and discharge in all respects any and all Liens securing Indebtedness for Borrowed Money of Dole and its Affiliates applicable to any of the DAL Shares, the DPF Interests, any shares or other equity interests in any Acquired Entity or any Acquired Entity’s tangible and intangible assets, including without limitation the Acquired Entities’ ownership interests, as the case may be, in the Asia Fresh Entities, the Worldwide Packaged Food Entities, the Asia Fresh Business or the Worldwide Packaged Food Business, or that such Liens shortly thereafter be so released, discharged or terminated.

Lien Releases means such agreements, certificates and other documentation (including UCC-3 termination statements, intellectual property security releases and deposit account control agreement terminations) as Buyer may reasonably request to demonstrate and evidence that the Ascension Shares, the ISC Shares, the Purchased Assets and the assets and property of the Purchased Companies are free from any and all Liens other than Permitted Liens on the Closing Date.

Lien Releases has the meaning set forth in Section 2.3(b).

Lien Releases means duly executed written instruments releasing the Liens other than Permitted Liens on the Purchased Assets and authorizing the filing of UCC-3 termination statements for all UCC-1 financing statements filed in connection with any such released Lien, which Liens to be released are set forth on Schedule 1.68.
