Liquidity Factor definition

Liquidity Factor means the percentages applied to reduce Eligible Accounts by payor class based upon Borrowers’ actual recent collection history for each such payor class in a manner consistent with Agent’s underwriting practices and procedures. Agent may adjust such Liquidity Factors at any time in the exercise of its Permitted Discretion.
Liquidity Factor means, with respect to any conversion other than pursuant to a Special Conversion Event, an amount equal to (i) 0.90 if the Conversion Date for such conversion falls 60 days or more after a Change of Control Conversion Event, or (ii) 1.00 if the Conversion Date does not fall 60 days or more after the occurrence of a Change of Control Conversion Event.
Liquidity Factor means (i) total cash collections divided by (ii) (A) gross revenue minus (B) dilution, calculated as of a trailing twelve month period, as determined by Agent based on the most recent field examination obtained by Agent.

  • Without in any way limiting the immediately preceding sentence, Agent acknowledges and agrees, that as of the Closing Date, based off of the Borrower’s recent collection history, Agent shall adjust the Borrowing Base by applying a Liquidity Factor of ninety percent (90%) to all Eligible Accounts of the Borrower other than Eligible Accounts arising from the Novartis Agreement, which Eligible Accounts shall not be subject to the application of a Liquidity Factor at the Closing Date.
