  • No GE Entity may transfer any shares of LM Preferred Stock or LM Common Stock from and after the date of this Agreement until the earlier of (i) the consummation of the Exchange or (ii) the termination of this Agreement in accordance with Section 10.01; provided, that, for purposes hereof, the conversion of shares of LM Preferred Stock into shares of LM Common Stock in accordance with Section 6.05 shall not constitute a "transfer".
