Examples of Local Sale in a sentence

  • All representations, warranties, covenants and agreements set forth in this Agreement, the Local Sale Agreements, the Shared Services Agreement, the Nortel Proprietary Software License Agreement, or in any writing or certificate delivered at a Closing in connection with such Closing shall survive the Closings.

  • In the event of a conflict between this Agreement and the Local Sale Agreements, this Agreement shall prevail.

  • In the event of any irreconcilable conflict between this Agreement and any other Transaction Documents, the Confidentiality Agreement or the Clean Team Confidentiality Agreement, the provisions of this Agreement shall prevail, regardless of the fact that certain other Transaction Documents, such as the Local Sale Agreements, may be subject to different governing Laws.

  • In the event of any irreconcilable conflict between this Agreement and any of the other Transaction Documents or the Confidentiality Agreement, the provisions of this Agreement shall prevail, regardless of the fact that certain other Transaction Documents, such as the Local Sale Agreements (if any), may be subject to different governing Laws.

  • The Seller shall sell, assign and transfer the Austrian Shares to the Austrian Purchaser, the foregoing to be effected in accordance with terms of the Austrian Local Sale and Purchase Agreement.
