Lower Value definition

Lower Value has the meaning given that term in Section 3.3(iii).
Lower Value shall have the meaning specified in Section 2.4(b)(iii) hereof.
Lower Value has the meaning set forth in Section 2.05(d).

Examples of Lower Value in a sentence

  • In the case of a Preexisting Individual Account that is a Lower Value Account, an “in-care-of” address outside the United States or “hold mail” address shall not be treated as U.S. indicia.

  • If the Higher Value is more than 110% of the Lower Value, a third appraiser shall be selected in accordance with the provisions of paragraph (e) below, and the Final Number of ATI Shares will be determined in accordance with the provisions of paragraph (f) below.

  • The higher of the values set forth on the Appraisers' Certificates is hereinafter referred to as the "Higher Value," and the lower of such values is hereinafter referred to as the "Lower Value." If the Higher Value is not more than 110% of the Lower Value, the Fair Market Value of the Minority Member's Interest will be the arithmetic average of the Higher Value and the Lower Value.


More Definitions of Lower Value

Lower Value means (i) if the Merger occurs on or prior to February 28, 1999, $22.50 per share or (ii) if the Merger occurs after February 28, 1999, $20.00 per share. A "Class" of Company Options is that group of Options having the same exercise price.

  • FR Value means, in respect of a ST FR Valuation Date, Worst Value.

  • Worst Value means, in respect of a ST Valuation Date, the RI Value for the Reference Item(s) with the lowest or equal lowest RI Value for any Reference Item in the Basket in respect of such ST Valuation Date.

  • RI Value means, in respect of a Reference Item and a ST Valuation Date, (i) the RI Closing Value for such Reference Item in respect of such ST Valuation Date, divided by (ii) the relevant RI Initial Value (expressed as a percentage).
