MAMP Benefit Plan definition

MAMP Benefit Plan means any currently existing or previously terminated Employee Benefit Plan (A) which MAMP or any MAMP Subsidiary sponsors, maintains or contributes to, and (B) with respect to which MAMP or any MAMP Subsidiary has any obligation to make payments or contributions or might otherwise have a liability.

  • No fact or condition exists that could subject MAMP, any ERISA Affiliate or any fiduciary responsible for any MAMP Benefit Plan to any material liability (other than routine claims for benefits) under the terms of any MAMP Benefit Plan or applicable Law.

  • Neither MAMP nor any MAMP Subsidiary is a party to any MAMP Benefit Plan or MAMP Service Agreement that would result, separately or in the aggregate, in the payment (whether in connection with any termination of employment or otherwise) or any “excess parachute payment” within the meaning of Section 280G of the Code.

  • No MAMP Benefit Plan that is a Welfare Plan is (i) a “multiple employer welfare arrangement” within the meaning of Section 3(40) of ERISA, or (ii) a “voluntary employees’ beneficiary association” within the meaning of 501(c)(9) of the Code or other funding arrangement for the provision of welfare benefits (such disclosure to include the amount of any such funding), or (iii) self-insured by MAMP or any MAMP Subsidiary.

  • Each MAMP Benefit Plan that is intended to be tax qualified under Section 401(a) of the Code has received a favorable determination letter from the IRS as to its qualification status or is in the form of a prototype document that is the subject of a favorable opinion letter from the IRS, and each such determination remains in effect and has not been revoked.

  • Neither MAMP nor any MAMP Subsidiary has made any commitment to create, amend or otherwise modify any additional MAMP Benefit Plan.

  • Schedule 2.21(a) identifies each MAMP Benefit Plan, regardless of whether such MAMP Benefit Plan is funded, insured or self-funded, and whether written or oral.

  • To MAMP’s Knowledge, no event, or failure to act, has occurred that could jeopardize the qualified status of any MAMP Benefit Plan or result in the imposition of any material liability, penalty, or Tax under ERISA or the Code or any other applicable Law.

  • Each MAMP Benefit Plan has been operated, administered and documented in all material respects in compliance with its terms, the terms of any applicable collective bargaining agreement, and applicable requirements of ERISA, the Code and any other Law (including related regulations and rulings).

  • To MAMP’s Knowledge, no party dealing with any MAMP Benefit Plan has engaged in any prohibited transaction (within the meaning of Section 406 of ERISA or Section 4975 of the Code) or has committed any breach of fiduciary duty.

  • No Proceeding by any Governmental Entity is pending and, to the Knowledge of MAMP, none has been threatened, regarding any MAMP Benefit Plan.

  • Non-U.S. Benefit Plan has the meaning set forth in Section 3.20(a).

  • Parent Benefit Plan means an Employee Benefit Plan sponsored, maintained, or contributed to (or required to be contributed to) by Parent or any of its Subsidiaries, or under or with respect to which Parent or any of its Subsidiaries has any current or contingent liability or obligation.

  • Business Benefit Plan means each Benefit Plan that is contributed to, sponsored, maintained or entered into by Seller or a Retained Subsidiary, a Purchased Subsidiary or any Affiliate of any of them for the benefit of any Business Employee.

  • Health benefit plan means a policy, contract, certificate or agreement offered or issued by a health carrier to provide, deliver, arrange for, pay for or reimburse any of the costs of health care services.

  • Company Benefit Plan has the meaning specified in Section 4.13(a).

  • Foreign Benefit Plan means any Employee Benefit Plan established, maintained or contributed to outside of the United States of America or which covers any employee working or residing outside of the United States.

  • Seller Benefit Plan means each Benefit Plan sponsored, maintained or contributed to by Seller or any of its Subsidiaries or with respect to which Seller or any of its Subsidiaries is a party and in which any Employee is or becomes eligible to participate or derive a benefit.

  • Pension Benefit Plan means at any time any employee pension benefit plan (including a Multiple Employer Plan, but not a Multiemployer Plan) which is covered by Title IV of ERISA or is subject to the minimum funding standards under Section 412 of the Code and either (i) is maintained by any member of the Controlled Group for employees of any member of the Controlled Group; or (ii) has at any time within the preceding five years been maintained by any entity which was at such time a member of the Controlled Group for employees of any entity which was at such time a member of the Controlled Group.

  • Benefit Plan means any of (a) an “employee benefit plan” (as defined in ERISA) that is subject to Title I of ERISA, (b) a “plan” as defined in Section 4975 of the Code or (c) any Person whose assets include (for purposes of ERISA Section 3(42) or otherwise for purposes of Title I of ERISA or Section 4975 of the Code) the assets of any such “employee benefit plan” or “plan”.

  • Welfare Benefit Plan means each welfare benefit plan maintained or contributed to by the Company, including, but not limited to a plan that provides health (including medical and dental), life, accident or disability benefits or insurance, or similar coverage, in which Executive was participating at the time of the Change in Control.
