Nothing in this Agreement or in the relationship between the Parties shall create in or for the benefit of Abbott Japan any kind of Encumbrance or other right in any finished Products or any property provided or made available by Inverness Japan to Abbott Japan hereunder in connection with Abbott Japan’s provision of the Manufacturing Support Services.
The Assets transferred by Tridex to Magnetec pursuant to this Agreement constitute all of the assets used by Tridex exclusively in the conduct of the Ribbon Business and, in combination with the services previously provided by Magnetec to Tridex pursuant to the Amended and Restated Manufacturing Support Services Agreement, dated as of June 1, 1998 (the "Manufacturing Agreement"), are sufficient to conduct the Ribbon Business as presently conducted by Tridex.
The provisions of this Section 7.8 will be effective until the later of (i) the termination date of the Distribution Agreement between Seller and Purchaser, (ii) the termination date of the Transitional Supply and Manufacturing Support Services Agreement between Seller and Purchaser, or (iii) the fifth anniversary of the Closing Date.
For purposes of clarification, if any request by LifeScan requires either of the UBS manufacturing lines to be removed from a validated state, then such activity would not be included in the UBS Manufacturing Support Services and would be paid for separately by LifeScan pursuant to a separate purchase order.
During the Term, Inverness Japan shall pay to Abbott Japan as compensation for all the Manufacturing Support Services performed by ▇▇▇▇▇▇ Japan pursuant to this Agreement a monthly fixed-fee in the amount of (i) $59,000 plus any applicable Japanese Taxes, if any, during the first 26 months of the Term, and (ii) $89,000 plus any applicable Japanese Taxes, if any, during the remaining months of the Term (the “Occupancy Fee”).

Nycomed's Central Manufacturing Support Services Cost is calculated as a part of the Manufacturing Cost (i) per unit per Product and/or (ii) per kilogram of Compound and includes all costs related to the following central activities such as production planning, purchasing, quality assurance, regulatory affairs, analytical support, technology and formulation management as well as other administration functions (e.g. accounting, human resources, etc.).
All these cost components called "Nycomed's Central Manufacturing Support Services Cost" shall be expressed as a part of the Manufacturing Cost (i) per unit per Product and/or (ii) per kilogram of Compound.
The parties acknowledge that UBS will initially attempt to provide such advice telephonically or by video conference; provided, however, that any request for a face to face meeting to provide such advice at a LifeScan facility would be outside the scope of UBS Manufacturing Support Services.
