  • Other than the obligation of MarkWest GP to make contributions to MarkWest as required by Section 5.2 of the Partnership Agreement, MarkWest GP hereby waives (for itself and on behalf of its Affiliates) its preemptive rights provided under Section 5.9 of the Partnership Agreement with respect to the issuances of Partnership Securities pursuant to this Agreement.
