For the avoidance of doubt, to the extent the Equity Portfolio is invested in Master Fund Shares, this test shall be applied as if the Fund's assets and liabilities included a pro rata portion of the assets and liabilities of such Master Funds.
Any Shares purchased by NRFC or OZCI pursuant to this Section 2 shall be purchased at NAV as of the date of purchase of the Master Fund Shares.
Such distributions of Master Fund Shares shall be accomplished by the opening of shareholder accounts on the share ledger records of Master Fund in the amounts due to the Investors in the Registered Feeder Funds based on their respective holdings in the Registered Feeder Funds as of the Closing Date.
