Materials and Technology definition

Materials and Technology means the particular tangible items listed in Appendix A hereto.

  • Our Materials and Technology (including without limitation our Software) are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

  • Notwithstanding the foregoing, BioCurex shall not license or grant the use of the Licensed Materials and Technology in the Field to any Third Party after the Effective Date on terms with minimum annual royalties, as described in Section 4.3 below, less than those so described.

  • Inverness shall maintain records, in sufficient detail and in good scientific manner, which shall reflect all work done and results achieved in the performance of its research and development regarding the Licensed Materials and Technology and the Products (including all data in the form required under all applicable laws and regulations).

  • Work performed and deliverables created by us under the Agreement, including without limitation via Services, will constitute Our Materials and Technology, and for the avoidance of doubt will not be considered “works made for hire” owned by you.

  • BioCurex hereby grants to Inverness and its Affiliates a semi-exclusive license of the Licensed Materials and Technology in the Territory with the right to conduct research and to develop, make, have made, use, offer for sale, sell and import Products anywhere in the Territory for use in the Field.

  • We reserve all rights in Our Materials and Technology not specifically and expressly granted to you under these Master Terms.

  • Within ninety (90) days following the end of each quarter during the term of this Agreement, Inverness shall prepare and deliver to BioCurex a written summary report which shall describe (a) the research performed to date employing the Licensed Materials and Technology, (b) the progress of the development, and testing of Products in clinical trials, and (c) the status of obtaining regulatory approvals to market Products.

  • You agree that all right, title and interest in and to Our Materials and Technology and all service- based or licensed Software provided hereunder, including all changes, modifications and improvements thereto, belongs exclusively to, and will remain the sole property of, us, our Affiliates, and our and their respective licensors or partners.

  • Should a licensing agreement between BioCurex and one of its licensees be terminated, BioCurex shall have the right to license the Licensed Materials and Technology to another licensee or to develop, test, manufacture, import, sell or offer for sale Products without permission from Inverness.

  • For the avoidance of doubt, the terms of the Agreement, and Our Materials and Technology, are our Confidential Information.

Related to Materials and Technology

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Biological Materials means any material (including, without limitation, plants, animals, microbes or viruses) of biological origin which contains genetic information capable of reproduction and/or material derived from the same that is collected or produced through the Contract;

  • Licensed Technology means the Licensed Patents and Licensed Know-How.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.
