SDB will own the entire right, title and interest in and to any and all inventions and improvements conceived solely by SDB or on its behalf, by its respective employees and agents after the Effective Date relating to the Licensed Technology (“SDB New Developments”), subject to the licence grant set out in Clause 2 hereof.
For avoidance of doubt, nothing in this Agreement shall restrict the ability of Lilly or its Affiliates to Research, Develop or Commercialize any compounds, products or therapies, it being understood that this Section 3.5 shall not be deemed to expand the scope of any licenses to Licensed Technology granted hereunder.
The Parties understand and agree that the Appendices identifying the Licensed Technology are not intended to be the final and complete embodiment of any terms or provisions of this Agreement, and are to be updated from time to time during the Agreement Term, as appropriate and in accordance with the provisions of this Agreement.
Notwithstanding any of the foregoing, each Party’s rights and obligations with respect to Licensed Technology under this ARTICLE 8 will be subject to the restrictions set forth in Section 5.5, provided, however, that, to the extent that Akcea has a non-transferable right to prosecute, maintain or enforce any Patent Rights licensed to Novartis hereunder and, this Agreement purports to grant any such rights to Novartis, Xxxxx will act in such regard with respect to such Patent Rights at Novartis’ direction.
Subject to the terms and conditions of this Agreement, upon Novartis’ exercise of the Option for AKCEA-APO(a)-LRx in accordance with ARTICLE 3 and Novartis’ payment of the license fee under Section 7.1, Akcea grants to Novartis a worldwide, exclusive, royalty-bearing, sublicensable (in accordance with Section 5.2) license under the Licensed Technology to Research, Develop, Manufacture, have Manufactured and Commercialize AKCEA-APO(a)-LRx.
