Maximum Cash Election Number definition

Maximum Cash Election Number shall have the meaning set forth in Section 3.1(f) of this Agreement.
Maximum Cash Election Number shall equal the number of Electing Company Shares that, together with (i) the number of Dissenting Shares, if any, and (ii) the number of shares of Company Common Stock owned by Parent or Merger Sub canceled in accordance with Section 2.1(b), equals 55% of the number of issued and outstanding shares of Company Common Stock immediately prior to the Effective Time. If the aggregate number of Electing Company Shares exceeds the Maximum Cash Election Number, each Electing Company Share shall be converted into the right to receive shares of Parent Common Stock or cash in accordance with the terms of Section 2.1 in the following manner:

  • Stock Election Number shall have the meaning set forth in Section 3.2.1.
