Merger Fund definition

Merger Fund has the meaning set forth in Section 2.10(d).
Merger Fund has the meaning set forth in Section 1.9(a) above.
Merger Fund means all amounts held by the Paying Agent from time to time for payment to Company Eligible Holders as provided herein.

Examples of Merger Fund in a sentence

  • None of Parent, Merger Sub, the Company, the Surviving Corporation or the Paying Agent shall be liable to any Person in respect of any portion of the Merger Fund delivered to a public official pursuant to any applicable abandoned property, escheat or similar law.

More Definitions of Merger Fund

Merger Fund shall have the meaning set forth in Section 2.2(a) hereof.
Merger Fund means the account, maintained by the Paying Agent, in which the following amounts will be deposited: (a) the aggregate Per Share Common Consideration to be paid to each of the Equity Holders and (b) any amounts released from the Escrow Account to the Paying Agent pursuant to the terms hereof.
