Meten Education definition

Meten Education means Shenzhen Meten International Education Co., Ltd., a company incorporated under the laws of PRC on April 3, 2006.

  • No shareholder shall assume any warranty or guarantee responsibility for the consequences of the act or inaction by Meten Education or other Domestic Affiliates beyond its rights as shareholders.

  • This Agreement shall automatically terminate when the equity purchasers have fully exercised their options to purchase all the (direct and indirect) equities held by Meten Education Shareholders in Party B in accordance with the Exclusive Purchase Agreement.

  • Meten Education Shareholders confirm to the WFOE, after the full investment of all capital contributions by the Meten Education Shareholders to Meten Education, such capital contribution shall be the assets of Meten Education, Meten Education Shareholders shall not, under any circumstances, require Meten Education to repay the capital contribution and will not require for WFOE’ s compensation for the capital contribution.

  • In any case, if the shareholder and/or organizer rights of the Domestic Affiliates are transferred to any third party other than the existing shareholders and/or organizers of the Domestic Affiliates, Meten Education Shareholders and the existing shareholder and/or organizers of Domestic Affiliates are obliged to make the relevant transferee accept the rights and obligations under the Cooperation Agreements in writing and be bound by these rights and obligations.

  • This Agreement shall automatically terminate when the equity purchasers have fully exercised their options to purchase all the (direct and indirect) equities held by Meten Education Shareholders in Domestic Affiliates in accordance with the Exclusive Call Option Agreement.

  • With respect to any loss, damage, obligation and expense caused by any litigation, claim or other request against WFOE arising out of or arising from the service provided by WFOE as required by the Meten Education Shareholders and the Domestic Affiliates under this Agreement, the Meten Education Shareholders and the Domestic Affiliates shall severally but not jointly compensate WFOE and protect the WFOE from loss.

  • This agreement is valid for the entire period of the Target Company’s operating period and for the period of renewal according to PRC law, and shall be automatically terminated once WFOE has purchased all equities of Domestic Affiliates directly or indirectly held by Meten Education Shareholders in accordance with the Exclusive Purchase Agreement entered into among the Meten Education Shareholders, the Domestic Affiliates and the WFOE on the same date of this Agreement.

  • Adult education means all education or instruction,

  • General education means the compulsory school attendance phase as referred to in section 3 of the South African Schools Act, 1996 (Act No. 84 of 1996); and

  • Local education agency means: a public authority legally constituted by the state as an administrative agency to provide control of and direction for Kindergarten through Twelfth (12th) grade public educational institutions.

  • Continuing education hour or “CE Hour” means based on sixty clock minutes, and includes at least fifty minutes of participation in a group or self-study learning activity that meets the criteria of the NERC Continuing Education Program.

  • Continuing education unit (CEU) means a unit of measure of educational credit which is equivalent to ten (10) hours.

  • Independent educational evaluation means an evaluation conducted by a qualified examiner who is not employed by the public agency responsible for the education of the child in question.

  • Continuing education provider or “CE provider” means an individual or entity that is approved to offer continuing education courses pursuant to [insert reference in State law or regulations governing producer continuing education course approval].

  • Direct medical education costs means costs directly associated with the medical education of interns and residents or other medical education programs, such as a nursing education program or allied health programs, conducted in an outpatient setting, that qualify for payment as medical education costs under the Medicare program. The amount of direct medical education costs is determined from the hospital base-year cost reports and is inflated in determining the direct medical education rate.

  • State education agency means the department.

  • Diocesan Board of Education means that body constituted under the Diocesan Boards of Education Measure 1991 for the Diocese and any successor body;

  • Approved abuse education training program means a training program using a curriculum approved by the abuse education review panel of the department of public health or a training program offered by a hospital, a professional organization for physicians, or the department of human services, the department of education, an area education agency, a school district, the Iowa law enforcement academy, an Iowa college or university, or a similar state agency.

  • Local educational agency except as otherwise provided, means

  • Direct medical education rate means a rate calculated for a hospital reporting medical education costs on the Medicare cost report (CMS 2552). The rate is calculated using the following formula: Direct medical education costs are multiplied by inflation factors. The result is divided by the hospital’s case-mix index, then is further divided by net discharges.

  • Cooperative education program means a written voluntary agreement between and among districts to provide certain educational programs for pupils in certain groups of districts. The written agreement shall be approved by all affected districts at least annually and shall specify the educational programs to be provided and the estimated number of pupils from each district who will participate in the educational programs.

  • Secretary of Education means the Commissioner of Education and the Secretary of the United States Department of Education (who succeeded to the functions of the Commissioner of Education pursuant to the Department of Education Organization Act), or any officer, board, body, commission or agency succeeding to the functions thereof under the Higher Education Act.
