Mezz Loan Documents definition

Mezz Loan Documents means the “Loan Documents” as defined in the Mezz Second Mortgage Note.
Mezz Loan Documents means the Mezzanine Term Loan and Security Agreement dated as of the date hereof among the Mezz Lenders and the Parent and all other instruments, agreements and documents executed in connection therewith, as amended, restated, modified and supplemented from time to time.
Mezz Loan Documents means the documents evidencing the Mezz Loan listed and described on Schedule 1.3 attached hereto, and any future refinancing thereof permitted in accordance with the terms of this Agreement (including, without limitation, Section 9.5(a) hereof).

Examples of Mezz Loan Documents in a sentence

  • Borrower shall not, nor shall it permit Senior Mezz Borrower to, amend or modify any of the Senior Mezz Loan Documents without the prior written consent of Lender.

  • Borrower acknowledges that the obligation to comply with such covenants is separate from, and may be enforced independently from, the obligations of the Senior Mezz Borrower under the Senior Mezz Loan Documents.

  • Notwithstanding the foregoing, (i) Lender shall have no obligation whatsoever to pay any of the amounts evidenced or secured by, or to perform any of the covenants or obligations imposed by, any Senior Mezz Loan Documents, and (ii) any such payment by Lender shall not cure Senior Mezz Borrower’s default hereunder or under the Senior Mezz Loan Documents but shall only protect Lender’s interest in the Project.

  • Borrower shall, or shall cause Senior Mezz Borrower, to fully and timely pay all amounts owing under the Senior Mezz Loan Documents and timely and fully perform all of Senior Mezz Borrower’s covenants and agreements contained therein.

  • Borrower shall provide Lender with copies of all notices (except routine notices which would not include any notice related to any failure to comply with any terms of the Senior Mezz Loan Documents or regarding any event of default under the Senior Mezz Loan Documents) given or received by Senior Mezz Borrower under or pursuant to the Senior Mezz Loan Documents, promptly upon delivery or receipt as the case may be.

  • There are no defaults under any of the Senior Loan Documents, Senior Mezz Loan Documents or the Loan Documents on the part of Borrower, Senior Mezz Borrower, Mortgagor or the other parties signatory thereto, and no event has occurred and is continuing which, with the giving of notice or the passage of time, or both, would constitute a default under any thereof.

  • Notwithstanding the foregoing, the Partners may deliver notices, demands, requests, approvals or other communications via electronic mail with respect to routine matters for which the Mezzanine Lender’s consent is being requested by Borrower under the Mezz Loan Documents.

  • This phenomenon has been reported by both 1997 and 2005 baselines.

  • If Lender hereafter incurs any Costs in accordance herewith that Junior Mezz Borrower is required to reimburse or pay to Lender pursuant to the Junior Mezz Loan Documents, Lender shall promptly demand that Junior Mezz Borrower remit payment thereof to Lender in accordance with the Junior Mezz Loan Documents.

  • The purposes and powers of the Partnership shall be to (i) through the REIT’s ownership in the Mezzanine Lender, directly or indirectly hold, own, sell, manage and otherwise deal with the Mezz Loan, the Mezz Loan Documents and the Collateral (as defined in the Mezz Agreement), and (ii) do such other acts as the Partners may deem necessary or advisable in connection with the foregoing.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • Loan Documents means, collectively, this Agreement, any note or notes executed by Borrower, and any other document, instrument or agreement entered into in connection with this Agreement, all as amended or extended from time to time.

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Mezzanine Loan Documents means, as to each Mezzanine Loan, all documents evidencing, securing, guaranteeing and/or perfecting such Mezzanine Loan and all documents executed and/or delivered in connection therewith.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Prepetition Loan Documents means the “Loan Documents” as defined in the Prepetition Credit Agreement, in each case as amended, supplemented, or modified from time to time prior to the Petition Date.

  • Original Loan Documents means the "Loan Documents" as defined in the Original Credit Agreement.

  • Credit Documents mean the agreements, instruments, certificates or other documents at any time evidencing or otherwise relating to, governing or executed in connection with or as security for, a Loan, including without limitation notes, bonds, loan agreements, letter of credit applications, lease financing contracts, banker's acceptances, drafts, interest protection agreements, currency exchange agreements, repurchase agreements, reverse repurchase agreements, guarantees, deeds of trust, mortgages, assignments, security agreements, pledges, subordination or priority agreements, lien priority agreements, undertakings, security instruments, certificates, documents, legal opinions, participation agreements and intercreditor agreements, and all amendments, modifications, renewals, extensions, rearrangements, and substitutions with respect to any of the foregoing.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Subordinated Loan Documents means at any time the agreements and other documents then governing the Subordinated Indebtedness.

  • Senior Credit Documents means the collective reference to the Credit Agreement, the notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented or otherwise modified from time to time.

  • Subordinate Loan Documents means the Subordinate Note, the Subordinate Mortgage, and all other documents at any time evidencing, securing, guaranteeing, or otherwise delivered in connection with the Subordinate Indebtedness.

  • Revolving Loan Documents has the meaning specified for the term “Loan Documents” in the Revolving Credit Agreement.

  • Cooperative Loan Documents As to any Cooperative Loan, (i) the Cooperative Shares, together with a stock power in blank; (ii) the original executed Security Agreement and the assignment of the Security Agreement endorsed in blank; (iii) the original executed Proprietary Lease and the assignment of the Proprietary Lease endorsed in blank; (iv) the original executed Recognition Agreement and the assignment of the Recognition Agreement (or a blanket assignment of all Recognition Agreements) endorsed in blank; (v) the executed UCC-1 financing statement with evidence of recording thereon, which has been filed in all places required to perfect the security interest in the Cooperative Shares and the Proprietary Lease; and (vi) executed UCC-3 financing statements (or copies thereof) or other appropriate UCC financing statements required by state law, evidencing a complete and unbroken line from the mortgagee to the Trustee with evidence of recording thereon (or in a form suitable for recordation).

  • Mortgage Loan Documents means, with respect to the Mortgage Loan, the Mortgage Loan Agreement, the Mortgage, the Notes and all other documents now or hereafter evidencing and securing the Mortgage Loan.

  • Existing Credit Documents means (a) the Existing Credit Agreement, (b) the promissory notes made by Borrower thereunder, and (c) all deeds of trust, mortgages, security agreements, and other documents, instruments or agreements executed and delivered in connection therewith by any Restricted Person, or any predecessor in interest to any Restricted Person.

  • Required Loan Documents means, for each Loan:

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Refinancing Documents means each of the agreements, documents and instruments entered into in connection with the Refinancing.
