Minimum Required Shares definition

Minimum Required Shares means at least that number of the outstanding Shares required pursuant to the Minimum Condition unless Acquiror shall have waived the Minimum Condition in which case “Minimum Required Shares” means that number of the outstanding Shares, not less than that number as will, excluding Shares owned by Acquiror or affiliates of Acquiror, equal 50.1% of the outstanding Shares, which Acquiror takes up on the Take-up Date;
Minimum Required Shares means that number of the outstanding Shares which the Offeror takes up on the Take-up Date.
Minimum Required Shares means at least that number of the outstanding Caza Shares required to be tendered to the Offer to satisfy the Minimum Condition;

Examples of Minimum Required Shares in a sentence

  • You must own directly or beneficially Company Stock in the amount of 50 % of the number of shares covered by the Award (hereinafter referred to as "Minimum Required Shares") and provide proof of ownership satisfactory to the Committee of that number of shares as of September 30, 2005.

  • If, at any time during the Period of the Award on or after September 30, 2005, you own some shares but less than the Minimum Required Shares, you will forfeit a pro rata portion of the Award not yet accelerated based upon the ratio of the number of shares you own to the Minimum Required Shares.

  • The Protected Excess Stock amount is calculated as the greater of 1.) an absolute dollar amount (or relayed in terms of a number of shares of stock) or 2.) a percentage of a Member’s Minimum Required Shares.

  • If (a) Offeror takes up and pays for Chieftain Shares pursuant to the terms of the Offer, and thereby acquires at least the Minimum Required Shares, or (b) the Minimum Condition is not fulfilled as of the Initial Expiry Time (but such would have been fulfilled if all outstanding Funding Preferred Shares were subject to a Conditional Pref.

  • APF agrees that if it acquires at least the Minimum Required Shares under the Offer it shall cause GNEL to fulfill its obligations pursuant to indemnities provided or available to past and present officers and directors of GNEL pursuant to the provisions of the GNEL Governing Documents, the Act, and the written indemnity agreements shown to APF prior to the date hereof which have been entered into between GNEL and its current officers and directors.


More Definitions of Minimum Required Shares

Minimum Required Shares means at least that number of the outstanding Shares required pursuant to the Minimum Condition unless the Offeror shall have waived the Minimum Condition in which case “Minimum Required Shares” means that number of the outstanding Shares, not less than that number as will, excluding Shares owned by the Offeror or affiliates of the Offeror, equal 50.1% of the outstanding Shares, which the Offeror takes up on the Take-up Date;
Minimum Required Shares means that number of the outstanding Shares, not less than that number as will, excluding Shares owned by Acquiror or affiliates of Acquiror, equal 50.1% of the outstanding Shares, which Acquiror takes up on the Take-up Date;
Minimum Required Shares means that number of the outstanding Canadian Hunter Shares which Burlington takes up on the Take-up Date, provided that such number of Canadian Hunter Shares shall not be less than 50% of the issued and outstanding Canadian Hunter Shares on a diluted basis (exclusive of any Canadian Hunter Shares that Burlington owned prior to the date the Offer Documents are mailed);
Minimum Required Shares means at least that number of the outstanding Zorin Shares required pursuant to the Minimum Condition unless Hawker shall have waived the Minimum Condition in which case “Minimum Required Shares” means that number of the outstanding Zorin Shares which Hawker takes up on the Take-up Date, provided that such number of Zorin Shares shall not be less than 50% of the issued and outstanding Zorin Shares on a diluted basis;
