MNS-2 Payment means GM’s monthly payment to the Delphi Parties pursuant to GM’s Multilateral Netting System.   • PAGA Payment means the penalties pursuant to PAGA that the Parties have agreed is a

  • Delta Payment means as it is described in this Agreement.

  • Installment Payment has the meaning ascribed to it in Section 2.02(a).

  • AHYDO Payment means any mandatory prepayment or redemption pursuant to the terms of any Indebtedness that is intended or designed to cause such Indebtedness not to be treated as an “applicable high yield discount obligation” within the meaning of Section 163(i) of the Code.

  • Co-payment means a relatively small amount of money paid by the insured person towards the cost of each day in a private hospital per episode of care, with Latrobe paying the rest of the cost.

  • Earnout Payments has the meaning set forth in Section 2.2(a).

  • Interim Payment has the meaning specified in Section 10.1.

  • Cash Exchange Payment means with respect to a particular Call Exchange for which the Corporation has elected to make a Cash Exchange Payment in accordance with SECTION 2.1 of this Agreement or a particular Put Exchange for which the Shareholder has elected to receive a Cash Exchange Payment (and such Cash Exchange Payment is capable of being made) in accordance with SECTION 2.2 of this Agreement:

  • Series A Distribution Payment Date has the meaning assigned to such term in Section 5.11(b)(i)(A).

  • CVR Payment Amount has the meaning set forth in Section 2.4(a).

  • Installment Payments shall have the meaning set forth in Section 5(b)(ii).

  • Earn-Out Payment has the meaning set forth in Section 2.5(a).

  • AHYDO Catch-Up Payment means any payment, including payments made on subordinated debt obligations, in each case to the extent such payment is necessary to avoid the application of Section 163(e)(5) of the Code.

  • Distribution Payment Date has the meaning set forth in paragraph 2(b) of Annex I.

  • Initial Payment means the dollar amount specified as the “Initial Payment” in the applicable Purchase Agreement.

  • Service Payment has the meaning given to it in clause 9.1;
