Examples of Mogo Shares in a sentence

  • In no event shall any holder of Mogo Shares be entitled to a fractional Difference Share.

  • Purchaser shall not take any action that would cause, or fail to use commercially reasonable efforts to prevent, the Consideration Shares not being freely tradable Mogo Shares.

  • If the Arrangement does not proceed for any reason, any certificate(s)/DRS Advice Statement(s) for Mogo Shares received by the Depositary will be returned to you forthwith in accordance with your delivery instructions in Box “C” on this Letter of Transmittal, or failing such address being specified, to the undersigned at the last address of the undersigned as it appears on the securities register of Mogo.

  • The Consideration represents an aggregate equity value, on a fully-diluted-in-the-money basis of approximately C$110 million1 for Mogo and represents approximately a 43% premium to the closing traded price of the Mogo Shares on the Toronto Stock Exchange (the "TSX"), and approximately a 38% premium to the 20-day volume weighted average trading price of Mogo’s common shares on the TSX, each as of April 12, 2019.

  • An investment in Mogo Shares involves significant risks, which should be carefully considered by Shareholders.

  • This Letter of Transmittal, properly completed and duly executed, together with all other documents and instruments referred to in this Letter of Transmittal or reasonably requested by the Depositary, must accompany all certificates or DRS Advice Statements representing Mogo Shares deposited for payment pursuant to the Arrangement.

  • As of December 31, 2018, Mr. Wekerle holds an aggregate of 2,550,972 Mogo Shares directly and the Company holds 2,449,163 Mogo Shares.
