Mortgage Portfolio definition

Mortgage Portfolio means, on any particular date, the combined Initial Mortgage Portfolio and any New Mortgage Portfolio which has been sold and assigned to the Mortgages Trustee on such date pursuant to the Mortgage Sale Agreement, taking account of, among other things, the addition and/or removal of any Mortgage Loans to or from that portfolio from the relevant Closing Date but excluding any Mortgage Loan and its Related Security which has been redeemed in full or repurchased by the Seller pursuant to Clause 8 (Warranties and Repurchase by the Seller) of the Mortgage Sale Agreement;

Mortgage Portfolio means, on any particular date, the combined Initial Mortgage Portfolio and any New Mortgage Portfolio which has been assigned to the Mortgages Trustee on such date pursuant to the Mortgage Sale Agreement, taking account of, among other things, the addition and/or removal of any Mortgage Loans to or from that portfolio from the relevant Closing Date but excluding any Mortgage Loan and its Related Security which has been redeemed in full or repurchased by the Seller pursuant to Clause 8 (Warranties and Repurchase by the Seller) of the Mortgage Sale Agreement;

Mortgage Portfolio means the portfolio of loans, mortgages and all moneys derived therefrom sold to the Issuer by the Seller on the Closing Date and thereafter on any Purchase Date by the Seller in accordance with the terms of the Mortgage Sale Agreement.

• The Administrator shall maintain in an adequate form such records as are necessary to enforce each Mortgage comprised in the Mortgage Portfolio and, where relevant, any other Related Security.

• This Agreement shall terminate at such time as the Mortgages Trustee has no further interest in any of the Mortgage Loans or the Mortgages which have been comprised in the Mortgage Portfolio.

• The Administrator shall keep and maintain records in relation to the Mortgage Portfolio, on a Mortgage Loan by Mortgage Loan basis, for the purposes of identifying amounts paid by each Borrower, any amount due from a Borrower and the balance from time to time outstanding on a Borrower's account and such other records as would be kept by a reasonable and prudent mortgage lender.

• The Administrator shall provide access, or procure that access is provided to, the Title Deeds relating to the Mortgage Portfolio to the Mortgages Trustee, the Beneficiaries and their respective agents at all reasonable times and upon reasonable notice.

• The Seller shall as soon as reasonably practical after the sale and assignment of the Initial Mortgage Portfolio on the Initial Closing Date procure that the respective interests of the Mortgages Trustee, Funding and the Security Trustee are noted by the relevant insurers in relation to each Insurance Contract.
