Net Cash Surplus definition

Net Cash Surplus means the amount, if any, by which the Net Cash Amount is greater than the Net Cash Target.

Net Cash Surplus means the gross revenue less the operating expenditures for any Management Year as determined by the Auditor, in accordance with generally accepted accounting principles and practices;
Net Cash Surplus means the absolute amount, if any, by which the net book cash balance of the Company (on a consolidated basis) as of the Closing, as set forth in the Net Cash Schedule as finally determined pursuant to Section 2.4, is greater than the net book cash balance of the Company (on a consolidated basis) used to calculate the Net Closing Consideration paid by Purchaser at the Closing.

Adjusted Operating Surplus does not include that portion of Operating Surplus included in clause (a)(i) of the definition of “Operating Surplus.”

  • Working Capital Surplus means the amount by which the Working Capital is greater than the Target Working Capital Amount.

  • Net Cash means the cash proceeds (net of cash taxes paid and reasonable and customary costs paid to unrelated and unaffiliated third parties in connection with a particular transaction) arising from any Excess Cash Event.
