Examples of New Hut in a sentence

  • As of and from the Arrangement Effective Time, this Plan of Arrangement will be binding on the Company, USBTC, New Hut, the Company Securityholders, the Depositary, the transfer agents in respect of the Company Shares and the New Hut Shares, and all other Persons, in each case without any further act or formality required on the part of any Person.

  • Neither the Company nor New Hut will be liable to any Person in respect of any cash or securities (including any cash or securities previously held by the Depositary in trust for any such former holder) which is forfeited to New Hut or delivered to any public official pursuant to any applicable abandoned property, escheat or similar law.

  • In no event shall any holder of Company Shares be entitled to a fractional New Hut Share.

  • At the Proscription Deadline, the consideration such former holder of Company Shares would otherwise have been entitled to receive pursuant to Section 3.1, together with any distributions or dividends such holder would otherwise have been entitled to receive pursuant to Section 5.3, shall be deemed to have been surrendered for no consideration to New Hut.

  • As a result of the Business Combination, both Hut Amalco and USBTC will become wholly-owned subsidiaries of New Hut.

  • Where the aggregate number of New Hut Shares to be issued to a holder of Company Shares as part of the Per Share Consideration under this Arrangement would result in a fraction of a New Hut Share being issuable, the aggregate number of New Hut Shares to be received by such holder shall be rounded down to the nearest whole New Hut Share, without any additional payment or compensation to the holder.

  • No fractional New Hut Shares will be delivered to Hut Shareholders entitled to receive Hut Consideration Shares pursuant to the Arrangement or to USBTC Stockholders entitled to receive USBTC Consideration Shares pursuant to the Merger.

  • Hut will provide legal counsel to USBTC with a reasonable opportunity to review and comment upon drafts of all material to be filed with the Court in connection with the Arrangement, and will give reasonable consideration to all such comments, provided that all information relating to USBTC and New Hut included in such materials shall be in a form and substance satisfactory to USBTC, acting reasonably.

  • In rendering this Opinion, Duff & Phelps is not expressing any opinion with respect to the amount or nature of any compensation to any of the Company’s, USBTC’s or New Hut 8’s officers, directors, or employees, or any class of such persons, relative to the consideration to be received by the public shareholders of the Company in the Proposed Transaction, or with respect to the fairness of any such compensation.

Related to New Hut

  • New Holdings shall have the meaning provided in the definition of the term “Holdings”.

  • New Holdco means the direct or indirect Subsidiary of the Ultimate Parent following the Post-Closing Reorganizations.

  • New Holding Company means a corporation that is not a bank, association, or national banking association and as to which all of the following apply:

  • CMD means the Contract Monitoring Division of the City.

  • New Company has the meaning given to it in Clause 21.3 of the Trust Deed;

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • Black People is a generic term which means Africans, Coloureds and Indians;

  • NEO or “named executive officer” means each of the following individuals:

  • MSL means an altitude expressed in feet measured from Mean Sea Level.

  • RemainCo shall have the meaning set forth in the Preamble.

  • MRP means the maximum retail price, excluding taxes, payable by a Subscriber for A-la Carte Channels or Bouquet of Pay Channels as notified by STAR in terms of the Tariff Order 2017 and as set out in Annexure A of the SLA as maybe amended from time to time;

  • FFI means a "foreign financial institution" as such term is defined pursuant to Sections 1471 through 1474 of the Code and any regulations thereunder or official interpretations thereof;

  • AGM means the annual general meeting held in accordance with the constitution of the Competition.

  • Comcast means Comcast Corporation, a Pennsylvania corporation.
