No Petition Covenant. Notwithstanding any prior termination of the Series Trust Agreement, the Trustee, each Certificateholder and each Certificate Owner shall not, prior to the date which is one year and one day after the termination of the Series Trust Agreement, acquiesce, petition or otherwise invoke or cause the Trust or the Depositor to invoke the process of any court or governmental authority for the purpose of commencing or sustaining a case against the Trust or the Depositor under any federal or state bankruptcy, insolvency or similar law or appointing a receiver, liquidator, assignee, trustee, custodian, sequestrator or other similar official of the Trust or the Depositor or any substantial part of its property, or ordering the winding up or liquidation of the affairs of the Trust or the Depositor.

Notwithstanding any prior termination of this Agreement, the Trust (or the Owner Trustee on behalf of the Trust), the Depositor, each Certificateholder and the Indenture Trustee shall not acquiesce, petition or otherwise invoke or cause the Trust to invoke the process of any court or governmental authority for the purpose of commencing or sustaining a case against the Depositor or the Trust under any federal or state bankruptcy, insolvency or similar law or appointing a receiver, liquidator, assignee, trustee, custodian, sequestrator or other similar official of the Depositor or the Trust or any substantial part of its property, or ordering the winding up or liquidation of the affairs of the Depositor or the Trust.

Notwithstanding any prior termination of this Agreement, the Seller shall not, prior to the date which is one year and one day after the final distribution with respect to the Secured Noteholders or the ACOLT Certificateholder, as applicable, acquiesce, petition or otherwise invoke or cause ACOLT to invoke the process of any court or government authority for the purpose of commencing or sustaining a case against ACOLT under any federal or State bankruptcy, insolvency or similar law or appointing a receiver, liquidator, assignee, trustee, custodian, sequestrator or other similar official of ACOLT or any substantial part of its property, or ordering the winding up or liquidation of the affairs of ACOLT under any State bankruptcy or insolvency proceeding.
