The rights of indemnification and to receive advancement of expenses as provided in this Paragraph 13 shall not be deemed exclusive of any other rights to which the Executive may at any time be entitled under applicable law, the Certificate of Incorporation or Bylaws of the Company, the Articles of Association of Noble, any agreement, a vote of shareholders or members, a resolution of the Board or the Noble Board, or otherwise.

Approval for matters outside the scope of the business plan and budget will be determined by the relevant committee in accordance with the applicable Terms of Reference (or by the New Noble Board if there is no relevant committee).
