Non-Productive Time definition

Non-Productive Time means time during which Fiserv is unable to perform the ACH Services set forth in this Schedule because Client either fails to provide Fiserv with access to Client’s required facilities or personnel or does not timely perform its obligations so that Fiserv is able to perform the ACH Services.

Examples of Non-Productive Time in a sentence

  • Neither Fleet Mobilization Time (defined below) nor any time period that the Parties may agree to, including a holiday or time period associated with a weather event, shall be Company or Contractor Non-Productive Time (each defined in Article 7(b)).

  • The provision of Services under this Agreement and the applicable pricing described herein are subject to the operating parameters described above and in Exhibit A together with the Non-Productive Time, Equipment Mobilization and Efficiency Rate parameters described in Article 7, Article 8, Exhibit B and Exhibit C (collectively the “Operating Parameters”).

  • Where Precision’s Equipment is not operating, but such failure to operate does not meet the definition of Directional Non-Productive Time, Customer shall continue to pay the applicable operating rate and Customer’s release contained herein shall apply.

  • Extraneous incidents and activities, including without limitation, rig downtime, stuck pipe and hole conditioning, that in any manner prevent continuation or return to normal operations during this period will be deducted from the Directional Non-Productive Time calculation.

  • The Non-Productive Time Credit shall be Customer’s sole remedy from Precision for any costs or expenses incurred, directly or indirectly, by Customer, including without limitation rig costs, as a result of any downtime of Precision’s Equipment, including without limitation Directional Non-Productive Time, and Customer specifically releases Precision from any claims Customer may otherwise make in regard thereto, regardless of the cause of such downtime.

  • The provision of Services under this Agreement and the applicable pricing described herein are subject to the operating parameters described above and in Exhibit A together with the Non-Productive Time, Equipment Mobilization and Stage Attainment Rate parameters described in Article 7, Article 8, Exhibit B and Exhibit C (collectively the “Operating Parameters”).

  • Milk product or "dairy product" means cottage cheese, dry curd cottage cheese, reduced fat cottage cheese, lowfat cottage cheese, cream, light cream, light whipping cream, heavy cream, heavy whipping cream, whipped cream, whipped light cream, sour cream, acidified sour cream, cultured sour cream, half-and-half, sour half-and-half, acidified sour half-and-half, cultured sour half-and-half, reconstituted or recombined milk and milk products, concentrated milk, concentrated milk products, skim milk, lowfat milk, frozen milk concentrate, flavored milk, eggnog, buttermilk, cultured milk, cultured lowfat milk, cultured skim milk, yogurt, lowfat yogurt, nonfat yogurt, acidified milk, acidified lowfat milk, acidified skim milk, low-sodium milk, low-sodium lowfat milk, low-sodium skim milk, lactose-reduced milk, lactose-reduced lowfat milk, lactose-reduced skim milk, aseptically processed and packaged milk, milk products with added safe and suitable microbial organisms, and any other milk product made by the addition or subtraction of milkfat or addition of safe and suitable optional ingredients for protein, vitamin, or mineral fortification. Unless a product is considered a milk product under this subdivision, milk product does not include dietary products, infant formula, ice cream or other desserts, cheese, or butter.
