Noncumulative perpetual preferred stock definition

Noncumulative perpetual preferred stock means perpetual preferred stock (and related surplus) where the issuer has the option to waive payment of dividends and where the dividends so waived do not accumulate to future pe- riods nor do they represent a contin- gent claim on the issuer. Preferred stock issues where the dividend is reset periodically based, in whole or in part, upon the bank’s current credit stand- ing, including but not limited to, auc- tion rate, money market and re- marketable preferred stock, are ex- cluded from this definition of non- cumulative perpetual preferred stock, regardless of whether the dividends are cumulative or noncumulative.
Noncumulative perpetual preferred stock means perpetual preferred stock (and related surplus) where the issuer has the option to waive payment of dividends and where the dividends so waived do not accumulate to future periods nor do they represent a contingent claim on the issuer.

  • Preference Stock means any and all series of preference stock, having no par value, of the Corporation.
