Series A Preferred Units definition

Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).

Series A Preferred Units shall have the meaning provided in Section 1.

Series A Preferred Units means a Unit in the Company that is a Preferred Unit designated as a “Series A Preferred Unit.”

• For the avoidance of doubt, and without limiting the foregoing, no distributions pursuant to Article IV shall be made with respect to the Series A Preferred Units other than in accordance with and pursuant to the terms of Section 4.01(b).

• The Partnership may, from time to time, issue additional Series A Preferred Units.

• The Partnership intends that the rights, preferences and privileges of the Series A Preferred Units issued to the Corporation mirror the rights, preferences and privileges of Series A Preferred Stock issued by the Corporation, and that at all times the ratio between the number of outstanding Series A Preferred Units and the number of outstanding shares of Series A Preferred Stock be maintained at 1:1.

• Any Series A Preferred Units that are redeemed or otherwise acquired by the Partnership shall be cancelled.

• Accordingly, the terms and provisions of this Section 3.12 shall be construed in accordance with such intent, and to the extent there is a conflict between the rights, preferences and privileges of the Series A Preferred Units under this Agreement and the rights, preferences and privileges of the Series A Preferred Stock under the Series A Certificate of Designations, the terms of the Series A Certificate of Designations shall control.

More Definitions of Series A Preferred Units

Series A Preferred Units means the Partnership's 8 1/2% Series A Cumulative Redeemable Partnership Units.

Series A Preferred Units means “Series A Cumulative Convertible Preferred Units” as defined in the Partnership Agreement.

Series A Preferred Units means any Units designated as “Series A Convertible Preferred Units” and issued pursuant to Section 5.8, including any Units issued under Section 5.8(b)(ii) and any Series A PIK Units.

Series A Preferred Units is defined in Section 3.1.1.

Series A Preferred Units means the Series A Perpetual Convertible Preferred Units representing limited partner interests in the Partnership and having the rights and obligations specified in the Partnership Agreement to be issued and sold to the Purchasers pursuant to the Purchase Agreement, including any PIK Units issued in connection therewith.

Series A Preferred Units means the Partnership Interest in the Partnership issued pursuant to Section 4.2 and Section 4.5 hereof representing 8.125% Series A Cumulative Redeemable Preferred Units. The term "Series A Preferred Unit" does not include or refer to any Original Limited Partnership Units, Additional Units or General Partner Units.
