Note A-2 PSA definition

Note A-2 PSA means the “pooling and servicing agreement” entered into in connection with the Note A-2 Securitization.

Note A-2 PSA shall have the meaning assigned to such term in the recitals.

Note A-2 PSA means a pooling and servicing agreement, substantially in the form of the Model PSA and subject to Section 2 hereof, to be entered into in connection with the Securitization, by and among (a) the Person who serves as Trustee from and after the Lead Securitization Date, (b) the Person who serves as Master Servicer from and after the Lead Securitization Date, (c) the Person which serves as Special Servicer from and after the Lead Securitization Date, (d) the Person who serves as Operating Advisor from and after the Lead Securitization Date and (e) the Depositor, and any other additional Persons that may be party to such pooling and servicing agreement; provided it is acknowledged that such agreement is subject in all respects to changes (i) required by the Code relating to the tax elections of the related Securitization Trust (ii) required by law or changes in any law, rule or regulation and (iii) requested by the Rating Agencies or any purchaser of subordinate certificates. The Servicing Standard in the Note A-2 PSA shall require, among other things, that each Servicer, in servicing the Mortgage Loan, must take into account the interests of each Noteholder (taking into account that the Subordinate Notes are junior to the A Notes as and to the extent provided herein).

Examples of Note A-2 PSA in a sentence

• Such notice shall contain contact information for each of the parties to the Note A-2 PSA and the identity of the Controlling Class Representative under such Note A-2 PSA.

• The Directing Holder shall designate a Person to serve as Special Servicer by delivering to the other Holders and the parties to the Note A-1 PSA and the Note A-2 PSA a written notice stating such designation and by satisfying the other conditions required under the Servicing Agreement (including, without limitation, a Rating Agency Confirmation, if required by the terms of the Servicing Agreement), if any.

• On and after the Note A-2 Securitization Date, Note A-2 shall be held in the name of the trustee (and held by a duly appointed custodian therefor) under the Note A-2 PSA, on behalf of the Note A-2 Holder.

• On and after the Note A-2 Securitization Date, Note A-2 shall be held in the name of the Note A-2 Trustee (and held by a duly appointed custodian therefor) under the Note A-2 PSA, on behalf of the Note A-2 Holder.

• The Lead Servicer, each Non-Lead Master Servicer and any Trustee will be entitled to interest on any Advance made in the manner and from the sources provided in the Note A-1 PSA or the Note A-2 PSA, as applicable.

• The Lead Servicer, the Non-Lead Master Servicer and any Trustee will be entitled to interest on any Advance made in the manner and from the sources provided in the Note A-1 PSA and the Note A-2 PSA, as applicable.

• The Directing Holder shall designate a Person to serve as Special Servicer by delivering to the other Holder and the parties to the Note A-1 PSA and the Note A-2 PSA a written notice stating such designation and by satisfying the other conditions required under the Servicing Agreement (including, without limitation, a Rating Agency Confirmation, if required by the terms of the Servicing Agreement), if any.

• The Note A-2 Holder shall provide the Depositor, the Servicer and the Special Servicer under the Lead Securitization PSA (as of the Note A-2 Securitization Date) (provided such party is not also a party to the Note A-2 PSA) notice of the Note A-2 Securitization in writing (which may be by email) prior to or promptly following the Note A-2 Securitization Date.

• In addition, after the Note A-2 Securitization Date, the Note A-2 Holder shall send a copy of the Note A-2 PSA to the Depositor, the Servicer and the Special Servicer under the Lead Securitization PSA (as of the Note A-2 Securitization Date) (provided such party is not also a party to the Note A-2 PSA).

• The Lead Servicer, each Non-Lead Master Servicer and any Trustee will be entitled to interest on any Advance made in the manner and from the sources provided in the Note A-1 PSA, the Note A-2 PSA or the Note A-3 PSA, as applicable.

More Definitions of Note A-2 PSA

Note A-2 PSA means the C5 PSA.

Note A-2 PSA means the JPMDB 2017-C7 PSA.

Note A-2 PSA means the “pooling and servicing agreement” entered into in connection with the C3 Securitization or the C3 PSA.

Note A-2 PSA means, only if Note A-2 is not included in the Note A-1 Securitization, the pooling and servicing agreement entered into in connection with the Note A-2 Securitization.

Xxxxxx Chase Commercial Mortgage Securities Corp., as Depositor, Wxxxx Fargo Bank, National Association, as Master Servicer, Torchlight Loan Services, LLC, as Special Servicer, Wxxxx Fargo Bank, National Association, as Certificate Administrator, Wilmington Trust, National Association, as Trustee, and Pentalpha Surveillance LLC, as Senior Trust Advisor.
